Performance Bonus Term definition

Performance Bonus Term means the period commencing on the date of the Closing and ending on the earlier of:
Performance Bonus Term means the period commencing on the date of the Closing and ending on the Business Day immediately prior to the day of dissolution or termination of the Partnership.
Performance Bonus Term means the period commencing on the date of the final Closing and ending on the earlier of: (a) the Business Day prior to the date on which the Partnership’s assets are transferred to a Mutual Fund pursuant to a Mutual Fund Rollover Transaction; and (b) the Business Day immediately prior to the Dissolution Transaction.

  • The General Partner is also entitled to a performance bonus equal to 20% of the product of: (a) the number of units outstanding on Performance Bonus Date (as defined in the LPA); and(b) the amount by which the net asset value per unit (prior to giving effect to the performance bonus) plus the total distributions per unit during the Performance Bonus Term exceeds $28.

  • On the Performance Bonus Date, the Partnership will pay to the General Partner a Performance Bonus equal to 20% of the product of: (a) the number of Units outstanding on the Performance Bonus Date; and (b) the amount by which the Net Asset Value per Unit on the Performance Bonus Date (prior to giving effect to the Performance Bonus) plus the aggregate value of all distributions on Units under Article 7 of the Partnership Agreement during the Performance Bonus Term exceeds $100.00.

  • The General Partner will be entitled to a performance bonus (the “Performance Bonus”), as an allocation of income from the Partnership, equal to 20% of the product of: (a) the number of Units outstanding on the business day immediately prior to the last day of the Performance Bonus Term (the “Performance Bonus Date”), and (b) the amount by which the Net Asset Value per Unit on the Performance Bonus Date plus the aggregate value of all distributions on Units during the Performance Bonus Term exceeds $100.

  • The General Partner is also entitled to a performance bonus equal to 20% of the product of: (a) the number of units outstanding on Performance Bonus Date (as defined in the LPA); and (b) the amount by which the net asset value attributable to partners’ capital per unit (prior to giving effect to the performance bonus) plus the total distributions per unit during the Performance Bonus Term exceeds $28.

  • In addition, the General Partner is entitled to a performance bonus equal to 20% of the product of: (a) the number units of that Class outstanding on Performance Bonus Date (as defined in the LPA); and (b) the amount by which the Net Asset Value per unit of that Class (prior to giving effect to the performance bonus) plus the total distributions per unit of that Class over the Performance Bonus Term exceeds $25.

  • The Performance Bonus Term means the period commencing on the date of the final closing and ending on the earlier of: (a) the business day prior to the date on which the Partnership’s assets are transferred to a mutual fund pursuant to a mutual fund rollover transaction; or (b) the business day immediately prior to the dissolution transaction.

  • In addition, the General Partner is entitled to a performance bonus equal to 20% of the product of: (a) the number units of that Class outstanding on Performance Bonus Date (as defined in the LPA); and (b) the amount by which the Net Asset Value per unit of that Class (prior to giving effect to the performance bonus) plus the total distributions per unit of that Class over the Performance Bonus Term exceeds $25.Income taxes The Partnership is not subject to income taxes.

Related to Performance Bonus Term

  • Performance Bonus means the performance bonus in respect of each Class payable to the General Partner by the Partnership which will be equal to 20% of the product of: (a) the number of Units of that Class outstanding on the Performance Bonus Date; and (b) the amount by which the Net Asset Value per Unit of that Class on the Performance Bonus Date (prior to giving effect to the Performance Bonus) plus the aggregate value of all distributions per Unit of that Class during the Performance Bonus Term exceeds $25.00.

  • Annual Bonus shall have the meaning set forth in Section 4(b) hereof.

  • Incentive Bonus means a bonus opportunity awarded under Section 9 pursuant to which a Participant may become entitled to receive an amount based on satisfaction of such performance criteria as are specified in the Award Agreement.

  • Performance Year means the calendar year prior to the year in which an Annual Award is made by the Committee.

  • Annual Incentive Award means an Award made subject to attainment of performance goals (as described in Section 14) over a performance period of up to one year (the Company’s fiscal year, unless otherwise specified by the Committee).

  • Bonus Amount means the greater of (i) the average annual incentive bonus earned by Executive from the Company (or its affiliates) during the last three (3) completed fiscal years of the Company immediately preceding Executive’s Date of Termination (annualized in the event Executive was not employed by the Company (or its affiliates) for the whole of any such fiscal year), and (ii) the Executive’s target annual incentive bonus for the year in which the Date of Termination occurs.

  • Bonus means the bonus described in the Section 2.3.

  • Target Bonus has the meaning described in Section 4(b).

  • Performance Period means the one or more periods of time, which may be of varying and overlapping durations, as the Committee may select, over which the attainment of one or more Performance Goals will be measured for the purpose of determining a Participant’s right to, and the payment of, a Performance-Based Award.

  • Target Annual Bonus has the meaning set forth in Subsection 3b.

  • Payout Period means the time frame during which certain benefits payable hereunder shall be distributed. Payments shall be made in monthly installments commencing on the first day of the month following the occurrence of the event which triggers distribution and continuing for a period of one hundred eighty (180) months. Should the Executive make a Timely Election to receive a lump sum benefit payment, the Executive's Payout Period shall be deemed to be one (1) month.

  • Cash Incentive Award means a cash award granted pursuant to Section 8 of this Plan.

  • Performance Compensation Award means any Award designated by the Committee as a Performance Compensation Award pursuant to Section 11 of the Plan.

  • Incentive Payment means the payment to a STGU, including an AOBC Generation Unit, for RPS class I Renewable Generation Attributes and/or Environmental Attributes produced by these units, calculated pursuant to Section 7.0 below.

  • Performance Cash Award means an award of cash granted pursuant to the terms and conditions of Section 6(c)(ii).
