Examples of Permitted Contracts in a sentence
Except for the Permitted Contracts and the Licenses and Permits, there do not exist any of the following agreements with respect to the Property that will be an obligation of Buyer or the Property after the Closing: reciprocal easement agreements; declarations of covenants, conditions, restrictions and easements; party wall agreements; “tie‑back” agreements; common area agreements; shared maintenance agreements, common use agreements or agreements with any Authority.
Company shall not license any other Person to use any of Company’s Intellectual Property Rights, except that Company may grant licenses in the ordinary course of its business or as contemplated by the Permitted Contracts.
Seller shall have obtained all required consents or approvals in writing of all parties whose consent or approval is necessary for the assignment of Scheduled Contracts and Permitted Contracts to be assigned to Purchaser hereunder as provided in Section 5.1.11, and for the assignment of the Personal Property Leases and the Real Property Leases.
Except for the Permitted Contracts, Seller has not sold, transferred, conveyed, or entered into any agreement related to any Development regarding “air rights”, “excess floor area ratio”, utility service rights, parking covenants or entitlement, waste or wastewater capacity or other development rights or restrictions relating thereto.
Except for the Permitted Contracts, there do not exist any of the following agreements with respect to the Property that will be an obligation of Buyer or the Property after the Closing: redevelopment agreements; development agreements; owner participation agreements; tax abatement or tax credit agreements; assessment district consents; assessment bonds or special assessment agreements; public improvement agreements; conditional use agreements; or zoning agreements.
