Permitted Contracts definition

Permitted Contracts shall have the meaning assigned to such term in Section 6.02(r).

Permitted Contracts means any Contracts, including purchase orders, which relate to the Product or the Product Line Business and which are entered into by Seller after the Execution Date, which Contracts involve payment by Seller of no more than $25,000 or extend for a term no longer than ninety (90) days from the Closing Date, and which are not otherwise material.

Permitted Contracts has the meaning set forth in Section 1.01 of the Credit Agreement.

• Other than Permitted Contracts and agreements with customers of the Bank and with financial institutions entered into by the Bank in the ordinary course of its banking business, attached to the Disclosure Statement as Exhibit "L" is a list of all material contracts and other agreements and arrangements, both written and oral, to which Bank or any of the other Corporations is a party and which involve $10,000 or more, which affect or pertain to the operation of their respective businesses.

More Definitions of Permitted Contracts

Permitted Contracts shall have the meaning given to such term in Section 3.1 hereof.

Permitted Contracts means, collectively, the Service Contracts that Buyer has elected or is required to assume pursuant to Section 4.5, the Permitted Title Exceptions, the Redevelopment Agreements, the Xxxxxxx’x XXX and the Personal Property Leases.

Permitted Contracts means the contracts which may be cancelled without penalty on no more than thirty (30) days’ written notice.

Permitted Contracts means (i) those Contracts listed on SCHEDULE 3.5, (ii) Contracts entered into by the Company or any Subsidiary in the ordinary course of business with advertisers for the sale of advertising or program time on the Stations for cash at rates consistent with past practices and which may be cancelled by the Stations without penalty on not more than thirty (30) days' notice, (iii) other Contracts entered into by the Company or any Subsidiary between the date hereof and the Closing Date in the ordinary course of business consistent with past practices that do not involve obligations or liabilities in excess of Five Thousand Dollars ($5,000) for each such Contract or Fifty Thousand Dollars ($50,000) for all such Contracts in the aggregate, and (iv) Contracts, other than the Contracts described in clause (ii) or (iii) above, entered into by the Company or any Subsidiary between the date hereof and Closing that Buyer agrees to assume in writing.

Permitted Contracts means (i) any rental agreements with Specific Related Parties in effect on the Execution Date; (ii) any communications services contracts with Specific Related Parties in effect on the Execution Date; (iii) contracts, agreements or arrangements for the provision of management, consulting or similar services by Media Pro Management to any of the Target Companies in effect as of the Execution Date; and (iv) agreements for the provision of any other goods or services provided in the ordinary course on an arms' length basis by the Sellers and their Affiliates (excluding the Target Companies) to the Target Companies, provided that Permitted Contracts in the aggregate may not obligate the Target Companies to payments of more than EUR 100,000 per month;

Permitted Contracts means power sales contract to which the Facility Lessee or the Subsidiary Guarantors are parties as sellers for the sale of energy, capacity or ancillary services at prices established at a formula, index or other price risk management methodology not based on spot market prices, having a remaining term from such date of calculation of at least two years that are then in full force and effect and not in default in any material respect. The good faith determination by the Facility Lessee that an agreement constitutes a Permitted Contract shall be conclusive in connection with the Restricted Payment for which such determination was made.

Permitted Contracts means all agreements and contracts with Third Parties for a duration of one year or less that have a financial commitment of $500,000 or less. Agreements with a duration of more than one year or have a financial commitment in excess of $500,000 shall require the written consent of the Company, except those in existence at the date of this Agreement.
