Permitted Disclosure definition

Permitted Disclosure means the disclosure of Confidential or Proprietary Information (i) made with the prior written consent of the Company, (ii) required to be disclosed by law or legal process or (iii) if the Optionee is a party to the Recapitalization Agreement, dated as of December 23, 2004, to which (among others) the Company and the NMP Entities are parties, as may reasonably be necessary in connection with the performance of any indemnification obligations thereunder.
Permitted Disclosure means the disclosure of Confidential Information that (i) is made with the prior written consent of the Company, (ii) is required to be disclosed by law or legal process (of which Executive shall have given as much advance written notice to the Company as is practicable under the circumstances), or (iii) is made in the course of the Executive’s employment with the Company, but only to the extent the Executive reasonably deems such disclosure necessary or appropriate to perform the Executive’s responsibilities on behalf of the Company or otherwise advance the interests of the Company.
Permitted Disclosure means the disclosure of Confidential Information that (i) is made with the prior written consent of the Company, (ii) is required to be disclosed by law or legal process (of which Executive shall have given as much advance written notice to the Company as is practicable under the circumstances), or (iii) is made in the course of the Executive’s employment with the Company, but only to the extent the Executive reasonably deems such disclosure necessary or appropriate to perform the Executive’s responsibilities on behalf of the Company or otherwise advance the interests of the Company. Notwithstanding anything herein to the contrary, nothing in this Employment Agreement shall (i) prohibit the Executive from making reports of possible violations of federal law or regulations to any governmental agency or entity in accordance with the provisions of and the rules promulgated under Section 21F of the Exchange Act or Section 806 of the Xxxxxxxx-Xxxxx Act of 2002, or of any other whistleblower protection provisions of state or federal law or regulations, or (ii) require notification or prior approval by the Company of any reporting described in clause (i).

In any event, a Receiving Party shall be responsible for any breach of this Agreement by any of its own Receivers.
