Permitted Exclusive License definition

Permitted Exclusive License means a licensing arrangement entered into by Holdings or any of its Subsidiaries, in the ordinary course of business and on commercially reasonable terms (but that would not result in a legal or effective transfer of Holdings’ or such Subsidiary’s title, as applicable, in the licensed trademarks), pursuant to which the licensee is granted the exclusive right with limited duration with a commercially reasonable term to use one or more of the licensor’s trademarks to manufacture, distribute, market, promote, offer for sale, sell, use, or otherwise exploit the trademarks in connection with food products, merchandise or other goods.
Permitted Exclusive License means, with respect to any drug or pharmaceutical product, any license granted in connection with any collaboration or research and development arrangements or in connection with the manufacture, sale or distribution of such drug or product.
Permitted Exclusive License means any exclusive License other than any exclusive License to commercialize the Borrower’s current Propel® family of products (i.e. Propel®, Propel® Mini and Propel® Contour) within the United States and/or Canada.

More Definitions of Permitted Exclusive License

Permitted Exclusive License means any exclusive License other than any exclusive License to commercialize within the United States and/or Canada, (a) the Borrower’s current Propel® family of products (i.e. Propel®, Propel® Mini and Propel® Contour), (b) Sinuva®, (c) Fiagon ENT Navigation System, FlexPointer, GuideWire, VenSure™ Nav Balloon and PointerShell, or (d) Virtu family of products (i.e. VirtuDrive® Cube4D, VirtuLite®, VirtuView®, VirtuLink®, VirtuTrac®, and VirtuSuite®).
Permitted Exclusive License means a license entered into in the ordinary course of business, provided that such exclusivity is limited to (i) geographic scope, (ii) field of use or distribution, (iii) a limited duration in time, or (iv) customized products for a specific Person or group of Persons.
Permitted Exclusive License is defined in Section 5.2.

Permitted Exclusive License means, with respect to any General Intangible constituting IP Collateral, the license by Borrower to a licensee of such General Intangible on an exclusive basis but reasonably limited in time or place of effect, so long as: (i) the Lender Group has received from Borrower not less than 10 Business Days prior written notice of the proposed license, together with all materials required hereunder in connection with such proposed license; (ii) Borrower has delivered to the Lender Group (y) written details of the scope and material terms of such license, the value of such license, and the projected impact of such license on Borrower's business, and (z) all other materials or information reasonably and promptly requested by the Lender Group Lender in connection with such proposed license; and (iii) the Required Lenders have not delivered to Borrower their written objection to such proposed license within 10 Business Days following the receipt of all items described in the foregoing clauses (i) and (ii).
Permitted Exclusive License means an exclusive License to commercialize, within the Xxxxxx Xxxxxx, XX000.
