Permitted Field definition

Permitted Field shall have the meaning set forth in Section 6.15(a).
Permitted Field means the non-HOC field of use.

The Permitted Field encompasses the Exclusive Field, but it expressly excludes the manufacture, use, sale, promotion or distribution of products, devices, processes or services that constitute or practice [*] or that compete with or have similar functionality or features as [*] Notwithstanding the foregoing, downloading of [*] does not by itself remove the device from the Permitted Field.

Examples of Permitted Field in a sentence

  • Because LFIRC’s rights in the Permitted Field are nonexclusive, Anoto may grant licenses, that may be exclusive except for LFIRC’s rights or nonexclusive, under Licensed Anoto Technology or Licensed Anoto IP to third parties in the Permitted Field, but outside the Exclusive Field during the Exclusive Term.

  • Because the LeapTrack system may include functionality falling outside the Permitted Field as performing Anoto Core Applications or as competitive with Anoto Functionality, the Parties agree not later than June 30, 2004, to negotiate in good faith an extension of the license granted in Sections 2.1(d), (e) and (f) to the extent necessary to permit use of Licensed Anoto Technology in the LeapTrack system as it exists as of the Effective Date.

  • If, at any time after [*], Anoto proposes to grant to a third party an exclusive license (even as to LFIRC) under Licensed Anoto Technology and/or Licensed Anoto IP in the Permitted Field, but outside the Exclusive Field during the Exclusive Term, Anoto shall first provide LFIRC with a written notice of such proposal which identifies the specific target market for which Anoto proposes to grant an exclusive license.

  • In the event BMT learns of any such use outside of the Permitted Field, then without limiting any other obligations of BMT hereunder nor any rights or remedies available to Novartis hereunder, BMT shall promptly so notify Novartis in writing and shall assist Novartis in terminating such use outside of the Permitted Field.

  • Any copies of the Technology's technical specifications retained by the OIP Group after the Closing shall be used by the OIP Group solely for the purposes of this Agreement (including rights with respect to the Permitted Field) or under the BDI Consulting Agreement, and shall be treated with the strictest confidentiality to ensure that no part of the technical specifications is disclosed to any person not authorized by BDI.

  • BDI shall cooperate (not including any financial obligation on the part of BDI) with the OIP Group as it shall reasonably request, including consenting to being named as a party in any dispute relating to infringement in the Permitted Field.

  • If any Intellectual Property Right of Novartis covering in any way the manufacture of Product utilizing the Process for use in the Permitted Field is assigned, sold, licensed or otherwise transferred by Novartis or its Affiliate(s) to a Third Party, such assignment, sale, license or transfer will be made subject to the provisions of this Section 2.7 in all respects.

  • In this regard, it is understood by the parties that any Future HOC IP may have utility or application both for HOC and in the Permitted Field.


More Definitions of Permitted Field

Permitted Field means the non-HOC field of use. Should any member of the OIP Group make or conceive of technology or intellectual property rights for the Permitted Field (i) which uses or is otherwise based, in whole or in substantial part, upon Confidential Information, and (ii) (x) in the course of performing services under this Agreement or (y) while using, in whole or substantial part, any facilities, materials or equipment owned by the Company, such OIP Group Member shall promptly transfer title to such technology or intellectual property to BDI and all Recoveries (as defined in the APA) shall be divided between the Parties pursuant to Subsection 3.5 of the APA.

For the avoidance of doubt, the Permitted Field includes the manufacture of the Product by Permitted CMOs for BMT or Xxxxx & Nephew, or their respective Affiliates, or their respective successors and permitted assigns, in each case, for commercialization by any such Person of Permitted Products in the Exclusive Fields or the Xxxxx & Nephew Field, as applicable, but, for clarity, does not include such manufacture for commercialization of Permitted Products by any Person other than BMT or Xxxxx & Nephew, or their respective Affiliates, or their respective successors and permitted assigns.

  • Field of Use means all fields of use.

  • Permitted Activities The primary activities of the trust created pursuant to this Agreement which shall be:

  • Permitted Business means any business similar in nature to any business conducted by the Company and the Restricted Subsidiaries on the Issue Date and any business reasonably ancillary, incidental, complementary or related to, or a reasonable extension, development or expansion of, the business conducted by the Company and the Restricted Subsidiaries on the Issue Date, in each case, as determined in good faith by the Company.

  • Restricted Products means any product, device, equipment or machinery researched into, developed, manufactured, supplied, marketed, distributed or sold by the Company and with which the duties of the Executive were materially concerned or for which he was responsible during the Relevant Period, or any products, equipment or machinery of the same type or materially similar to those products, equipment or machinery;

  • Commercializing means to engage in Commercialization and “Commercialized” has a corresponding meaning.
