Distribution of Products. The Products will be distributed through registered representatives of NASD broker-dealer firms, appointed by Nationwide, who shall be duly qualified and licensed as agents (the "Agents"), in accordance with applicable state insurance authority.
Distribution of Products. 2.01 Products - DISTRIBUTOR will maintain in its inventory of Products the following: (i) Products designated by COMPANY that contain the proprietary trademarks, service marks, logos or labels of COMPANY or any of its affiliates or that are made pursuant to specifications provided by COMPANY, its affiliates, or licensors for limited distribution to Operators (defined below) or other entities licensed by COMPANY, its affiliates or licensors (“TCBY Branded Products”), and (ii) other supplies or other national or regional branded Products designated or contracted for by COMPANY to be maintained in inventory by DISTRIBUTOR for distribution to COMPANY, its affiliates and the Operators. (Collectively, Products described in clauses (i) and (ii) are referred to as “Proprietary Products”). DISTRIBUTOR will also maintain in its inventory non-proprietary Products which DISTRIBUTOR stocks in its inventory for sale to COMPANY, its affiliates and its Operators. DISTRIBUTOR shall not be required to maintain more than two hundred (200) Proprietary Products in inventory at any time. All Coca Cola Products carried for COMPANY shall be excluded from the calculation of the number of Proprietary Products.
Distribution of Products. Party A shall be responsible the delivery of products to Party B, with Party B liable for all transportation and insurance costs (including for returns).

CHR shall be the sole distributor of Product in the United States, subject to any requirement under the Veteran’s Health Care Act of 1992 that Talecris may furnish Products directly to government purchasers. On the terms and subject to the conditions set forth in this Agreement, NexPress and or a NexPress Affiliate shall sell to Danka and Danka shall buy from NexPress those Products that Danka orders from NexPress for distribution in the Territory in accordance with the terms of this Agreement.
Distribution of Products. 3.1 During the term of this Agreement, XXXX shall use commercially reasonable efforts (utilizing its marketing, distribution and management systems), which shall be at least equivalent to those efforts used by XXXX with respect to other generic products distributed by it, to develop a market for the Products in the Territory and to actively and continuously promote the sale of and sell the Products in the Territory to maximize Gross Profit. However, XXXX shall not be deemed to have failed to abide by or have failed to perform in accordance with the foregoing standard to the extent that XXXX is prevented from performing or hindered in its performance of such standard by any act or omission of IMPAX. XXXX shall be solely responsible for the advertising and promotion of the Products, including the Promotional Materials, and shall comply with all applicable Laws in that regard including, without limitation, applicable DEA and FDA regulations and guidelines.
3.2 XXXX shall have sole discretion in setting the price for the sale of the Products in the Territory.
3.3 XXXX shall conduct or cause to be conducted such quality control tests as are required of XXXX by Law including, but not limited to, cGMPs, prior to sale or other release of a Product in the Territory.

3.2 You agree to use the Vuzix App Store for distribution of your Products only for purposes that are permitted by (a) this Agreement, (b) the Vuzix App Store Terms of Use and (b) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions.
Distribution of Products. HALIS hereby grants to HealthWatch a ------------------------ nonexclusive right to market and distribute the HALIS products in any market in which HALIS has not granted or does not grant in the future exclusive distribution rights to the product to another company and HealthWatch hereby grants to HALIS a similar nonexclusive right to distribute the HealthWatch information technology software being developed by HealthWatch in any market in which HealthWatch has not granted or does not grant in the future exclusive distribution rights to such product to another company. In consideration for the sale of any such products, HALIS shall pay to HealthWatch and HealthWatch shall pay to HALIS, as the case may be, a commission equal to 10% of the gross purchase price for such product by the HealthWatch or HALIS customer, as the case may be, such commission to be deemed to be earned upon payment and successful delivery and installation of any product to the customer.
