Exclusive Fields definition

Exclusive Fields mean the (i) Therapeutic Field, (ii) the Neo-Antigen Diagnostic Field and (iii) the Therapeutic Vaccine Field concerning or targeting Private Neo-Antigens until such time (if at all) that the Vaccine Option Period expires without the Vaccine Option having been exercised;
Exclusive Fields means products for: (a) personal care, which are not regulated by the FDA, including without limitation i) cosmaceutical products (which may be regulated by the FDA), ii) sunscreen products which are regulated by the FDA and iii) non-pharma transdermal even if applied via an adhesive system ) (collectively the “Personal Care Field”), (b) Thermoset Latent Catalysts, (c) household, industrial and institutional cleaning, excluding floor finishes (e.g. and not by way of limitation, polymers and polymer-based formulations used in the manufacture of hard surface cleaners, equipment cleaning, vehicle cleaning, laundry cleaning, cleaning for food & beverage institutions), and (d) disposable nonwovens (e.g., and not by way of limitation, polymers and polymer-based formulations used in the manufacture of disposables such as paper towels, industrial wipes, surgical gowns, diapers, similar hygiene products, among other disposable nonwoven products).
Exclusive Fields means the treatment of: (1) periodontal and dental diseases, (2) craniomaxillofacial applications and, (3) other skeletal applications including the healing of bone, cartilage, tendon and ligaments of the skeletal systems. The Exclusive Fields shall include treatments in humans and animals. For the avoidance of doubt, the Parties agree that the treatment of [***] will be specifically excluded from the Exclusive Field(s).

  • If the Using Member can demonstrate use of its Licensed Marks in these Fields of Use prior to the Effective Date (“Preexisting Fields of Use”), the Using Member may request that the Company expand the scope of the Using Member’s License to include the Preexisting Fields of Use, even if they correspond to any of the Second Member’s Exclusive Fields of Use.


More Definitions of Exclusive Fields

Exclusive Fields means the [***] Field and the Neuro Field.
Exclusive Fields means (a) the [***] or (b) [***], in each case (a) and (b), if Pfizer has exercised the Option for such under Section 2.4, in each case (a) and (b) unless and until such Field has converted to a Non-Exclusive Field pursuant to this Agreement (for example, under Sections 5.2 or 9.4.1). Cognates of the word “Exploit” will have correlative meanings. 1.1.32. “FD&C Act” means the United States Federal Food, Drug, and Cosmetic Act, as amended, and the rules and regulations promulgated thereunder. 1.1.33. “FDA” means the United States Food and Drug Administration or any successor agency thereto. 1.1.34. “Field” means [***]. 1.1.35. “First Commercial Sale” means, with respect to any Product and with respect to any country in the Territory, the first sale of such Product (as applicable) by Pfizer or an Affiliate or Sublicensee of Pfizer to a Third Party in such country after such Product has been granted Regulatory Approval by the appropriate Regulatory Authority in such country.
