Personal Shares definition

Personal Shares means all the 4,008,221 common shares of U.S. $.01 each in the share capital of Global Sources Ltd which are not Sale Shares and which are on or prior to the date hereof held by, or to the order or on behalf of the Chargor and in the event of any reconstruction or re-organisation of the Company's share capital (whether by consolidation, subdivision or otherwise) all the shares of the Company from time to time representing the same;

Personal Shares means the 1,000 Shares held by MW and the 600 Shares held by AG in a personal capacity as set out in column 2 of Part 1 of Schedule 1.

Personal Shares means 4,008,221 common shares of US$0.01 each in the capital of the Company which are in the beneficial and legal ownership of the Purchaser prior to the date of this Agreement and "Personal Share" means any one of the "Personal Shares" it being provided that any reference to a Personal Share or to Personal Shares shall be deemed to include (save and except for cash dividends) any rights benefits and proceeds in respect of or derived from such Personal Share or Personal Shares (whether by way of redemption bonus preference options allotments substitution conversion or otherwise) and in the event of any reconstruction or reorganisation of the Company's share capital (whether by consolidation subdivision or otherwise) all of the shares of the Company from time to time representing the same;

Related to Personal Shares

  • Purchased Stock means a right to purchase Common Stock granted pursuant to Article IV of the Plan.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Plan Shares means the total number of Common Shares which may be reserved for issuance as Optioned Shares under the Plan as provided in §2.2;

  • Unit Shares has the meaning ascribed thereto in the first paragraph of this Agreement;

  • Additional Shares of Common Stock means all shares of Common Stock issued (or, pursuant to Subsection 4.4.3 below, deemed to be issued) by the Corporation after the Series B Original Issue Date, other than (1) the following shares of Common Stock and (2) shares of Common Stock deemed issued pursuant to the following Options and Convertible Securities (clauses (1) and (2), collectively, “Exempted Securities”):

  • Subscribed Shares means, as of any date of determination, the Subscribed Shares (as defined in the recitals to this Subscription Agreement) and any other equity security issued or issuable with respect to the Subscribed Shares by way of stock split, dividend, distribution, recapitalization, merger, exchange, or replacement, and (ii) “Subscriber” shall include any person to which the rights under this Section 5 shall have been duly assigned.

  • Shares means the shares of Common Stock issued or issuable to each Purchaser pursuant to this Agreement.

  • Original Shares means, when used in reference to any one or more Stockholders, the Shares held by such Stockholder on November 30, 2010, or any shares or other securities into which or for which such Shares may have been converted or exchanged in connection with any exchange, reclassification, dividend, distribution, stock split, combination, subdivision, merger, spin-off, recapitalization, reorganization or similar transaction.

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • Unvested Shares means "Unvested Shares" as defined in the Award Agreement.

  • Company Shares means the common shares in the capital of the Company;

  • Award Shares means Shares covered by an outstanding Award or purchased under an Award.

  • Common Shares means the common shares in the capital of the Corporation;

  • Sold Shares shall have the meaning specified in Section 6.

  • Covered Shares means, with respect to the Shareholder, (i) the Existing Shares, together with (ii) any shares of Common Stock or other voting capital stock of the Company and any securities convertible into or exercisable or exchangeable for shares of Common Stock or other voting capital stock of the Company, in each case under this clause (ii) that such Shareholder acquires Beneficial Ownership of on or after the date hereof.

  • VMTP Shares has the meaning set forth in the preamble to this Agreement.

  • Dividend Shares means any shares of Common Stock issuable in lieu of cash dividends paid or to be paid on the Series A Preferred.

  • Transferred Shares means all or any portion of a Member’s Shares that the Member seeks to Transfer.

  • ASA Shares has the meaning set forth in 2.4(a).

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Initial Shares means all of the outstanding shares of Common Stock issued prior to the consummation of the Company’s initial public offering.

  • ADSs means the rights and interests in the Deposited Property (as hereinafter defined) granted to the Holders and Beneficial Owners pursuant to the terms and conditions of the Deposit Agreement and, if issued as Certificated ADS(s) (as hereinafter defined), the ADR(s) issued to evidence such ADSs. ADS(s) may be issued under the terms of the Deposit Agreement in the form of (a) Certificated ADS(s) (as hereinafter defined), in which case the ADS(s) are evidenced by ADR(s), or (b) Uncertificated ADS(s) (as hereinafter defined), in which case the ADS(s) are not evidenced by ADR(s) but are reflected on the direct registration system maintained by the Depositary for such purposes under the terms of Section 2.13. Unless otherwise specified in the Deposit Agreement or in any ADR, or unless the context otherwise requires, any reference to ADS(s) shall include Certificated ADS(s) and Uncertificated ADS(s), individually or collectively, as the context may require. Each ADS shall represent the right to receive, and to exercise the beneficial ownership interests in, the number of Shares specified in the form of ADR attached hereto as Exhibit A (as amended from time to time) that are on deposit with the Depositary and/or the Custodian, subject, in each case, to the terms and conditions of the Deposit Agreement and the applicable ADR (if issued as a Certificated ADS), until there shall occur a distribution upon Deposited Securities referred to in Section 4.2 or a change in Deposited Securities referred to in Section 4.11 with respect to which additional ADSs are not issued, and thereafter each ADS shall represent the right to receive, and to exercise the beneficial ownership interests in, the applicable Deposited Property on deposit with the Depositary and the Custodian determined in accordance with the terms of such Sections, subject, in each case, to the terms and conditions of the Deposit Agreement and the applicable ADR (if issued as a Certificated ADS). In addition, the ADS(s)-to-Share(s) ratio is subject to amendment as provided in Articles IV and VI of the Deposit Agreement (which may give rise to Depositary fees).

  • Amalco Shares means the common shares in the capital of Amalco;

  • Equity Shares shall have the meaning attributed to such term in the recitals of this Agreement;
