Portfolio Cash Flow definition

Portfolio Cash Flow has the meaning set forth in §15.7.1.
Portfolio Cash Flow means the aggregate net income arising from all Facilities under this Lease as reflected on the Facility Financial Statement of each Facility plus [i] the amount of the provision for depreciation and amortization; [ii] the amount of the provision for management fees; plus [iii] the amount of the provision for income taxes; plus [iv] the amount of the provision for Rent payments and interest and lease payments, if any, relating to the Facilities; minus [v] an imputed management fee equal to 5% of revenues of the Facilities (net of contractual allowances); and minus [vi] an imputed replacement reserve of $300.00 per unit at the Facilities, per year.
Portfolio Cash Flow means the aggregate net income arising from all Stabilized Facilities under this Lease as reflected on the Facility Financial Statement of each Stabilized Facility plus [i] the amount of the provision for depreciation and amortization; plus [ii] the amount of the provision for management fees; plus [iii] the amount of the provision for income taxes; plus [iv] the amount of the provision for Base Rent payments and interest and equipment lease payments, if any, relating to the Stabilized Facilities; and minus [v] an imputed management fee equal to 5% of gross revenues of the Stabilized Facilities (net of contractual allowances).

Portfolio Cash Flow means, for any period, the net income or loss of any Tenant arising from the applicable Property, as shown on the income statement of such Tenant prepared in accordance with GAAP, plus (a) the following, in each case without duplication, to the extent deducted in determining such net income or loss arising from the applicable Property: (i) depreciation and amortization, (ii) straight-line lease expense, net of amortization of below Portions of this exhibit that have been marked by [***] have been omitted pursuant to a request for confidential treatment filed separately with the Securities and Exchange Commission. market rents, (iii) the amount of federal, state, local and foreign income taxes paid or payable; (iv) Consolidated Interest Expense, (v) Rent Expense, (vi) cash Capital Lease payments, (vii) non-cash impairment charges incurred, (viii) any other non-cash charges incurred as are reasonably acceptable to Landlords and in such amounts as are reasonably acceptable to Landlords, and (ix) provision for management fees; minus (b) the following, in each case without duplication, to the extent included in determining such net income or loss arising from the applicable Property: (i) interest income, (ii) straight-line lease income, net of amortization of above market rents and (iii) all non-cash items increasing such net income for such period; minus (c) an imputed management fee equal to five percent (5%) of gross revenues of such Property (net of contractual allowances). Portfolio Cash Flow means all payments made by Underlying Obligors to the Borrower on the Eligible Loans pledged by the Borrower to the Lender under this Agreement and the other Credit Documents arising from whatever source, including, but not limited to, all interest and principal collections on notes, fees, judgment awards or settlements, late charges, default interest, reserves, refinancing proceeds, condemnation awards, and insurance proceeds, in each case, to the extent payable to the Borrower in accordance with the related Collateral Documents, and including any amount on deposit in the Interest Reserve that exceeds the amount then required to be held on deposit therein, but excluding (i) all escrow payments made by Underlying Obligors and payments made by Underlying Obligors into reserve accounts maintained pursuant to any Collateral Documents, provided, however, any funds from reserve accounts which are payable to Borrower or which Borrower is entitled to receive or withdraw pursuant to any Collateral Documents shall be included in the definition of Portfolio Cash Flow; (ii) all Servicing Fees retained by the Servicer pursuant to the Servicing Agreement; and (iii) at the Borrower’s option, pursuant to Section 2.08(c) below, the amounts collected by the Borrower or the Servicer in connection with a sale of an Eligible Loan, a prepayment of an Eligible Loan, or a Property Release required or permitted by any Collateral Documents.
Portfolio Cash Flow means for any quarter the sum of all Property Cash Flow from all Properties in the Client Account.

  • Net Cash Flow means the gross cash proceeds to the Company from all sources, less the portion thereof used to pay or establish reserves for Company expenses, debt payments (including payments on Member Loans), capital improvements, replacements and contingencies, all as determined by the Member.

  • Operating Cash Flow means the Company’s or a business unit’s sum of Net Income plus depreciation and amortization less capital expenditures plus changes in working capital comprised of accounts receivable, inventories, other current assets, trade accounts payable, accrued expenses, product warranty, advance payments from customers and long-term accrued expenses, determined in accordance with generally acceptable accounting principles.

  • Adjusted Cash Flow for any fiscal year shall mean Consolidated Net Income of the Borrower for such fiscal year (after provision for taxes) plus the amount of all net non-cash charges (including, without limitation, depreciation, deferred tax expense, non-cash interest expense, amortization and other non-cash charges) that were deducted in arriving at such Consolidated Net Income for such fiscal year, minus the amount of all non-cash gains and gains from sales of assets (other than sales of inventory and equipment in the normal course of business) that were added in arriving at such Consolidated Net Income for such fiscal year.

  • Annualized Operating Cash Flow means, for any fiscal quarter, the Operating Cash Flow for such fiscal quarter multiplied by four.

  • Cumulative Excess Cash Flow means the amount equal to the sum of Excess Cash Flow (but not less than zero for any Fiscal Year) for the Fiscal Year ending on December 31, 2022 and Excess Cash Flow (but not less than zero in any Fiscal Year) for each succeeding and completed Fiscal Year.

  • Underwritten Net Cash Flow means, as of any date of determination, the excess of: (i) for the twelve (12) month period ending on such date, the sum of (A) the lesser of (1) GPR multiplied by 94.0%, and (2) Actual Rent Collections, and (B) Other Receipts; over (ii) for the twelve (12) month period ending on such date, the sum of (A) Operating Expenses, adjusted to reflect exclusion of amounts representing non-recurring expenses, (B) Underwritten Capital Expenditures and (C)

  • Excess Cash Flow Payment Period with respect to the prepayment required on each Excess Cash Flow Application Date, the immediately preceding fiscal year of the Borrower.
