Portfolio Shares definition

Portfolio Shares means shares of common stock of AIM Equity, par value $.001, each representing an interest in the Portfolio.

Portfolio Shares means the equity securities held in the Portfolio. “Preferred Shares” means the preferred shares of the Company.

Portfolio Shares means those shares of beneficial interest in the Portfolio, issued by the Trust to the Company in consideration of the Portfolio's receipt of the Company's Assets.

• The Trust may purchase, on behalf of any Portfolio (the "Purchasing Portfolio"), Shares of another Portfolio (the "Selling Portfolio") or any Class thereof.

• On the date specified in such Resolution for the payment of such dividend or other distribution, Custodian shall pay out of the monies held for the account of Fund, insofar as the same shall be available for such purposes, and credit to the account of the Dividend Disbursing Agent for Fund, such amount as may be necessary to pay the amount per share payable in cash on Portfolio Shares issued and outstanding on the record date established by such Resolution.

• Issuance and transfer of Portfolio Shares will be by book entry only.

• The Acquiring Portfolio Shares to be issued pursuant to Section 1 hereof will be duly registered under the Securities Act of 1933, as amended (the “Securities Act”), and all applicable state securities laws.

• All Acquiring Portfolio Shares delivered to the Target Portfolio in exchange for such Assets shall be delivered at net asset value without sales load, commission or other transactional fees being imposed.

• The calculation of full and fractional Acquiring Portfolio Shares to be exchanged shall be carried out to no less than two (2) decimal places.

• The Target Portfolio covenants that at closing it shall cause to be distributed the Acquiring Portfolio Shares in the proper pro rata amount for the benefit of Target Portfolio’s shareholders and that the Target Portfolio shall not continue to hold amounts of said shares so as to cause a violation of Section 12(d)(1) of the 1940 Act.

Portfolio Shares shall be deemed to refer to the shares of beneficial interest which are offered for each Portfolio, and the term "Adviser" shall be deemed to refer to the investment adviser of the Trust. The Trust hereby employs INTRUST as custodian of the assets of each Portfolio. In the event the Trust establishes one or more portfolios other than the Portfolios with respect to which the Trust decides to retain the Custodian to act as custodian hereunder, the Trust shall so notify the Custodian in writing. The Custodian shall not be responsible for any property of the Trust held or received by the Trust and not delivered to the Custodian.

Portfolio Shares means, on any Calculation Date, the Unencumbered Portfolio Shares.
