PPSA Collateral definition

PPSA Collateral means all Property now owned or hereafter acquired by any Borrower or Guarantor in or upon which a Lien is granted or purported to be granted to any ABL Agent or any Term Agent under any of the ABL Collateral Documents or the Term Collateral Documents, together with all rents, issues, profits, products and Proceeds thereof and perfection, or the effect of perfection or non-perfection or the priority of such Lien is governed by the PPSA or any other laws in effect in Canada or any province or territory thereof.
PPSA Collateral has the meaning assigned to such term in Section 4.01.
PPSA Collateral has the meaning assigned to such term in Section 3.01(a).

Examples of PPSA Collateral in a sentence

  • The following terms which are defined in the PPSA are used herein with respect to PPSA Collateral as so defined: Accession, Certificated Security, Chattel Paper, Consumer Goods, Documents of Title, Equipment, Financial Asset, Futures Account, Goods, Instrument, Intangible, Inventory, Investment Property, Money, Personal Property, Proceeds, Securities Account, Security, Security Entitlement, Securities Intermediary and Uncertificated Security.

  • Each Grantor agrees to, promptly following any change referred to in the preceding sentence (and in any event within ten days), make all filings required under the PPSA or otherwise for the Collateral Agent to continue at all times following such change to have a valid, legal and perfected first priority security interest, subject to Permitted Liens, in all the PPSA Collateral.

  • For the purposes of the PPSA, Collateral shall include all Goods and Services and the proceeds thereof.

  • Upon the occurrence and during the continuance of an Event of Default, the Collateral Agent may also exercise the rights afforded under Section 4.01 of this Agreement with respect to Intellectual Property contained in the PPSA Collateral.

  • UCC Collateral is defined in Section 3.03.

  • U.S. Collateral means any and all property owned, leased or operated by a Person covered by the U.S. Collateral Documents and any and all other property of any U.S. Loan Party, now existing or hereafter acquired, that may at any time be or become subject to a security interest or Lien in favor of the Administrative Agent to secure the Secured Obligations.

  • ABL Collateral means all of the assets and property of any Grantor, whether real, personal or mixed, with respect to which a Lien is granted as security for any ABL Obligations.

  • Possessory Collateral means any Shared Collateral in the possession of a Collateral Agent (or its agents or bailees), to the extent that possession thereof perfects a Lien thereon under the Uniform Commercial Code of any jurisdiction. Possessory Collateral includes, without limitation, any Certificated Securities, Promissory Notes, Instruments, and Chattel Paper, in each case, delivered to or in the possession of the Collateral Agent under the terms of the First-Lien Security Documents.

  • Senior Collateral means any “Collateral” as defined in any Credit Agreement Loan Document or any other Senior Debt Document or any other assets of the Company or any other Grantor with respect to which a Lien is granted or purported to be granted pursuant to a Senior Collateral Document as security for any Senior Obligations.

  • First Priority Collateral means all assets, whether now owned or hereafter acquired by the Borrower or any other Loan Party, in which a Lien is granted or purported to be granted to any First Priority Secured Party as security for any First Priority Obligation.

  • Collateral has the meaning specified in the Granting Clause of this Indenture.

  • Term Priority Collateral has the meaning set forth in the Intercreditor Agreement.

  • Additional Collateral Any of the following held, in addition to the related Mortgaged Property, as security for a Mortgage Loan: (i) all money, securities, security entitlements, accounts, general intangibles, payment rights, instruments, documents, deposit accounts, certificates of deposit, commodities contracts and other investment property and other property of whatever kind or description now existing or hereafter acquired which is pledged as security for the repayment of such Mortgage Loan, (ii) third-party guarantees, and (A) all money, securities, security entitlements, accounts, general intangibles, payment rights, instruments, documents, deposit accounts, certificates of deposit, commodities contracts and other investment property and other property of whatever kind or description now existing or hereafter acquired which is pledged as collateral for such guarantee or (B) any mortgaged property securing the performance of such guarantee, or (iii) such other collateral as may be set forth in the Series Supplement.

  • Security Agreement Collateral means all "Collateral" as defined in the Security Agreement.

  • Control Collateral means any Collateral consisting of any Certificated Security (as defined in Section 8-102 of the Uniform Commercial Code), Investment Property, Deposit Account, Instruments and any other Collateral as to which a Lien may be perfected through possession or control by the secured party, or any agent therefor.

  • Loan Collateral With respect to any Mortgage Loan, the related Mortgaged Property and any personal property securing the related Mortgage Loan, including any lessor’s interest in such property, whether characterized or recharacterized as an ownership or security interest, and including any accounts or deposits pledged to secure such Mortgage Loan, and any Additional Collateral.
