Preferential Allotment definition

Preferential Allotment shall have the meaning ascribed to it in Recital E;
Preferential Allotment means preferential allotment under Section 81(1A) of the Companies Act, 1956 and/or under Chapter VII of the ICDR Regulations;
Preferential Allotment means the proposed Preferential Allotment as approved by the board of directors of the Target Company at their Board Meeting held on Thursday, May 19, 2022 subject to approval of members and other regulatory approvals of 55,00,000 (Fifty Five Lakhs) Equity Shares to be allotted by the Target Company to the Acquirers of face value of ₹ 10/- each at a price of ₹ 15.50/- per Equity Share including a premium of ₹ 5.50/- per Equity Share.

More Definitions of Preferential Allotment

Preferential Allotment. /“Pref Issue” shall mean issue and allotment of 48,70,606 Equity Shares of face value of `10 (Rupees Ten only) each at a price of `10 (Rupees Ten only) each representing 47.48% of the Emerging Voting Capital of the Target Company against swap of Shares of Krisani Bio Sciences Private Limited (“Krisani”) in the ratio of 83:100 i.e. Eighty Three Equity Shares of the Target Company against One hundred Equity Shares of Krisani.
Preferential Allotment or "Private placement" means an issue of capital made by an NBFC in pursuance of a resolution passed under sub-section (1A) of section 81 of the Companies Act, 1956.
