Prepayment Offer Notice definition

Prepayment Offer Notice set forth in this Section 101.

Prepayment Offer Notice means a written notice of a Prepayment Offer sent by the Company by first-class mail, postage prepaid, to each Holder at his address appearing in the Security Register on the date of the Prepayment Offer offering to purchase up to the principal amount of Securities specified in such Prepayment Offer at the purchase price specified in such Prepayment Offer (as determined pursuant to this Indenture). Unless otherwise required by applicable law, the Prepayment Offer Notice shall specify an expiry date (the "Expiry Date") of the Prepayment Offer which shall be, subject to any contrary requirements of applicable law, and a settlement date (the "Purchase Date") for purchase of the Securities which shall be, subject to any contrary requirements of applicable law, not less than 30 days nor more than 60 days after the date the Prepayment Offer Notice is mailed. The Prepayment Offer Notice shall contain information concerning the business of the Company and its Subsidiaries which the Company in good faith believes will enable such Holders to make an informed decision with respect to the Prepayment Offer, which at a minimum will include (i) the Company's most recent annual and quarterly financial statements and "Management's Discussion and Analysis of Financial Condition and Results of Operations" (which requirements may be satisfied by delivery of such documents together with the Prepayment Offer), (ii) a description of material developments in the Company's business subsequent to the date of the latest of such financial statements referred to in clause (i), (iii) if applicable, appropriate pro forma financial information concerning the Prepayment Offer, (iv) a description of the events requiring the Company to make the Prepayment Offer, (v) a description of the procedure which Holders must follow and any other information necessary to enable such Holders to tender Securities pursuant to the Prepayment Offer, (vi) a description of the procedure which Holders must follow and any other information necessary to enable such Holders to withdraw an election to tender Securities for payment, and (vi) any other information required by applicable law to be included therein. The Prepayment Offer Notice shall also state:

Prepayment Offer Notice a written notice (a) offering to prepay the Loans on the Specified Prepayment Date designated therein in an aggregate amount equal to the Prepayment Amount, (b) requesting each Lender to respond to such offer by delivering to the Agent and the Borrower a Prepayment Offer Response Notice no later than four Business Days prior to such Specified Prepayment Date, and (c) informing each such Lender that the failure by such Lender to deliver a Prepayment Offer Response Notice on or before the fourth Business Day prior to the Specified Prepayment Date shall be deemed to be the acceptance of the full amount of such offer by such Lender.
