Previous Meeting definition

Previous Meeting means the meeting of the Parties’ representatives to be held, when called by a Party, prior to the Shareholders’ Meetings and to the meetings of the Board of Directors of Vale, with the purpose of defining the vote of the Parties at Shareholders’ Meetings, and of their representatives on the Board of Directors, whenever required by this Shareholders’ Agreement.

Examples of Previous Meeting in a sentence

  • Each Previous Meeting must be held in a facility with telephone conference and internet access.

  • On the date of the call of the relevant Shareholders or Board of Directors Meeting, VDQ shall deliver to SALIC the agenda for the Previous Meeting and information as to the place of the meeting and the teleconference and internet connection modalities, which is the only formality that needs to be observed by the Parties for holding a Previous Meeting, with no additional formality or call notice being necessary.

Related to Previous Meeting

  • ordinary meeting means a meeting held by determination of the Board (SER r.115(1)).

  • Company Meeting means the special meeting of Company Shareholders, including any adjournment or postponement of such special meeting in accordance with the terms of the Arrangement Agreement;

  • meeting of shareholders means an annual meeting of shareholders or a special meeting of shareholders;

  • Public meeting means a meeting that is required to be open to the public under Title 52, Chapter 4, Open and Public Meetings Act.

  • Shareholder Meeting means a meeting of the Company’s shareholders.
