Prior Vested Options definition

Prior Vested Options means options to purchase Stock granted under the Company’s 2004 Stock Option Plan which were vested as of the Effective Date.
Prior Vested Options means the Executive’s vested in-the-money stock options granted by the Prior Employer, which are outstanding on the date hereof and do not otherwise expire by their terms prior to the date of the Executive’s termination of employment with the Prior Employer (other than by reason of the termination of the Executive’s employment with the Prior Employer).

Examples of Prior Vested Options in a sentence

  • Subject to adjustment as provided in Section 8 hereof, the total number of shares of Stock reserved and available for delivery in connection with Options under the Plan (including any Prior Vested Options) shall be 17,614.

  • In respect of the Executive’s 2006 Prior Bonus (as described in Section 3(c)(i) above) and any Prior Vested Options that become Forfeited Options, the Company paid to the Executive a cash payment (the “Additional Make Whole Payment”) on the date of, and just prior to, the Executive’s investment of the Stock Purchase Amount (as described in Section 3(f)(i)), as set forth in the Original Agreement.

  • Subject to adjustment as provided in Section 9 hereof, the total number of shares of Stock reserved and available for delivery in connection with Options under the Plan (including any Prior Vested Options) shall be 2,596,693.

Related to Prior Vested Options

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Promised Options means promised but ungranted Options that are the greater of those (i) promised pursuant to agreements or understandings made prior to the execution of, or in connection with, the term sheet or letter of intent for the Equity Financing or Liquidity Event, as applicable (or the initial closing of the Equity Financing or consummation of the Liquidity Event, if there is no term sheet or letter of intent), (ii) in the case of an Equity Financing, treated as outstanding Options in the calculation of the Standard Preferred Share’s price per share, or (iii) in the case of a Liquidity Event, treated as outstanding Options in the calculation of the distribution of the Proceeds.

  • Non-Vested Shares means any portion of the Restricted Stock subject to this Agreement that has not become vested pursuant to this Section 2.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of immediately prior to the Effective Time or will vest solely as a result of the consummation of the Merger.

  • Unvested Company Option means any Company Option that is not a Vested Company Option.

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • Rollover Option has the meaning set forth in Section 2.4(a).

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • Optioned Stock means the Common Stock subject to an Option.

  • Company Stock Options shall have the meaning given to such term in Section 3.3(a) hereof.

  • Stock Options means the collective reference to "Incentive Stock Options" and "Other Stock Options".

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • Parent Options means options or other rights to purchase shares of Parent Common Stock issued by Parent.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Parent Stock Option means any option to purchase Parent Common Stock granted under any Parent Stock Plan.

  • Company Options means any options to purchase shares of Company Common Stock, whether granted pursuant to any of the Company Stock Plans or otherwise.

  • Company Option means an option to purchase shares of Company Common Stock granted under the Company Incentive Plan.

  • Employee Option means an Option granted pursuant to Section 5.

  • Non-Statutory Stock Option means a right to purchase Common Stock granted to an Eligible Recipient pursuant to Section 6 of the Plan that does not qualify as an Incentive Stock Option.

  • Equity Awards will mean Executive’s outstanding stock options, stock appreciation rights, restricted stock units, performance shares, performance stock units and any other Company equity compensation awards.

  • Company Equity Award means a Company Stock Option or a Company Restricted Share granted under one of the Company Stock Plans, as the case may be.
