Priority Facility definition

Priority Facility means any facility which is notified to the Security Agent by the Parent in writing as a facility to be treated as a “Priority Facility” for the purposes of this Agreement, in each case provided that such facility is made available on terms consistent with those set out in Schedule 4 (Priority Facility).
Priority Facility means a Transportation Facility identified in the County’s most recent Transportation Improvement and Program Guide (TIPG), Capital Improvement Program, or functioning at Level of Service F prior to construction of the development necessitating the construction or improvement of the Transportation Facility. In order to incentivize development, all Transportation Facilities which have construction contracts executed prior to January 1, 2029 and are in accordance with this policy shall be considered Priority Facilities.

Examples of Priority Facility in a sentence

  • A Resolution Amending Fees for Facility Rentals and Priority Facility Registration Fees for Surrounding Municipalities.

  • By way of an addendum, which was stated to be “an inseparable part of the [PLFA]”, the Priority Facility was increased to US$40m (“the Addendum”).

  • The Priority Facility was eventually exhausted in August 2011 (see First Judgment at [134]).

  • Using the output evidence from the programme of bus priority feasibility studies or other sources, the County Council will agree a case by case package of reciprocal investment Requirements with Bus Operators of services within the area of influence of each Bus Priority Facility.

Related to Priority Facility

  • City Facility means any building, structure, property, park, open space, or vehicle, owned or leased by the City, its agents, agencies, or departments.

  • Majority Facility Lenders with respect to any Facility, the holders of more than 50% of the aggregate unpaid principal amount of the Term Loans or the Total Revolving Extensions of Credit, as the case may be, outstanding under such Facility (or, in the case of the Revolving Facility, prior to any termination of the Revolving Commitments, the holders of more than 50% of the Total Revolving Commitments).

  • Utility facility means any pipe, pipeline, duct, wire line, conduit, pole, tower, equipment or other structure used for one of the following:

  • Liquidity Facilities means, collectively, the Class A Liquidity Facility and the Class B Liquidity Facility.

  • City Facilities means City or publicly-owned structures or equipment located within the right of way or public easement used for governmental purposes.

  • Class B Liquidity Facility has the meaning set forth in the Intercreditor Agreement.

  • Replacement Liquidity Facility has the meaning set forth in the Intercreditor Agreement.

  • Refinancing Facility has the meaning specified in Section 2.16(a).

  • Community facility means community room, clubhouse, recreation center or similar area for use by residents. Lobbies and laundry facilities must not be considered within the scope of this definition.

  • DIP means debtor-in-possession.

  • Liquidity Facility Provider means a Person that is a party to a Liquidity Facility with the Authority with respect to specified Bonds and whose credit rating by each nationally recognized Rating Agency then rating the Class I Bonds is sufficiently high to maintain the then current rating on such Bonds by such Rating Agency or the equivalent of such rating by virtue of guarantees or insurance arrangements.

  • Class A Liquidity Facility has the meaning set forth in the Intercreditor Agreement.

  • Utility Facilities means the plant, equipment and property, including but not limited to the poles, pipes, mains, conduits, ducts, cable, wires, plant and equipment located under, on, or above the surface of the ground within the public right-of-way of the city and used or to be used for the purpose of providing utility or telecommunications services.   • Refinancing Facility Agreement means a Refinancing Facility Agreement, in form and substance reasonably satisfactory to the Agent, among Holdings, the Borrower, each Subsidiary of the Borrower party to this Agreement, the Agent and one or more Refinancing Lenders, establishing Refinancing Commitments and effecting such other amendments hereto and to the other Loan Documents as are contemplated by Section 2.26.

  • Replacement Revolving Facility has the meaning assigned to such term in Section 9.02(c)(ii).

  • Required Facility Lenders means, as of any date of determination, with respect to one or more Facilities, Lenders having more than 50% of the sum of (a) the Total Outstandings under such Facility or Facilities and (b) the aggregate unused Commitments under such Facility or Facilities; provided that the unused Commitments of, and the portion of the Total Outstandings under such Facility or Facilities held or deemed held by, any Defaulting Lender shall be excluded for purposes of making a determination of the Required Facility Lenders.

  • Existing Facility means a facility in existence on any given date, newly constructed or altered.

  • Collateral Enhancement Obligation means any warrant or equity security, excluding Exchanged Equity Securities, but including without limitation, warrants relating to Mezzanine Obligations and any equity security received upon conversion or exchange of, or exercise of an option under, or otherwise in respect of a Collateral Debt Obligation; or any warrant or equity security purchased as part of a unit with a Collateral Debt Obligation (but in all cases, excluding, for the avoidance of doubt, the Collateral Debt Obligation), in each case, the acquisition of which will not result in the imposition of any present or future, actual or contingent liabilities or obligations on the Issuer other than those which may arise at its option; provided that no Collateral Enhancement Obligation may be a Dutch Ineligible Security.

  • Test Facility means any WRAS suitably accredited test laboratory;

  • LNG facility means a terminal which is used for the liquefaction of natural gas or the importation, offloading, and re-gasification of LNG, and includes ancillary services and temporary storage necessary for the re-gasification process and subsequent delivery to the transmission system, but does not include any part of LNG terminals used for storage;

  • Bank Product Collateralization means providing cash collateral (pursuant to documentation reasonably satisfactory to Agent) to be held by Agent for the benefit of the Bank Product Providers (other than the Hedge Providers) in an amount determined by Agent as sufficient to satisfy the reasonably estimated credit exposure with respect to the then existing Bank Product Obligations (other than Hedge Obligations).

  • DIP Facility means the debtor-in-possession secured financing facility provided to the Debtors by the DIP Lenders pursuant to the DIP Credit Agreement as authorized by the Bankruptcy Court pursuant to the DIP Facility Order.

  • Revolver Facility means the credit facility as described in and subject to the limitations set forth in Section 2.01.

  • Community facilities means a specific work, or improvement within this state or a specific item of equipment or tangible personal property owned or operated by any political subdivision or nonprofit corporation and used within this state to provide any essential service to the general public;
