Project Securities definition

Project Securities means, subject to Section 1.3, all of the respective shares, partnership interests and other direct equity interests in the Acquired Companies owned by the Sellers of Project Securities that are listed under the column titled “Project Securities” on Schedule A.
Project Securities means the Original Project Securities and, the Extension Project Securities, provided however, that Project Securities may include any other security or option (including shares in the Company or Units) issued by the Company, the Trustee or both of them which the State has elected to adopt as either an Original Project Security or an Extension Project Security.
Project Securities has the meaning given it in the City Link Concession Deed. "Proprietary Documentation" is documentation which Clepco or the Company uses for the operation, maintenance or repair of the Exhibition Street Extension in which Intellectual Property Rights are capable of subsisting.

Examples of Project Securities in a sentence

  • Upon the terms and subject to the conditions contained in this Agreement, on the Project Closing Date, EME will, and it will cause each of the other Sellers to, sell and deliver to the Purchaser, and the Purchaser agrees that it will purchase from EME and the other pertinent Sellers, the Project Securities that are listed opposite the name of each Seller of Project Securities on Schedule A.

  • The Takeovers Panel shall not have taken or omitted an action, in response to the Exemption Request or otherwise, that prohibits the Sellers from delivering and the Purchaser Parties from purchasing, or that fails to permit the Sellers to deliver and the Purchaser Parties to purchase, the Project Securities, in lieu of the Seller-Owned Contact Shares, without a violation of the Takeovers Code, unless EME elects a Contact Shares Delivery Transaction.

  • Such a payment need only be made if the actual cumulative real after tax return which a Notional Initial Equity Investor would be considered to have derived on its investment in Project Securities up to the end of that period exceeds the cumulative real after tax return which a Notional Initial Equity Investor was projected by the Base Case Financial Model to have received on its investment in Project Securities up to the end of that period.

  • The elections to adopt referred to in paragraphs 1.2(q) and 1.2(r), and in the definition of "Project Securities", may be made by the State, in its discretion.

More Definitions of Project Securities

Project Securities means, collectively, the 2000 Project Notes, the 2002 Project Notes, the 2007 Project Bonds and the 2010 Project Bonds issued by ESI Tractebel Funding under the Project Indenture and then outstanding.
Project Securities. Means (a) a contract or contracts wherein the BOT Company is mortgagor or pledgor or the grantor of any other form of security interest and one or more Lenders or the Security Agent is mortgagee or pledgee or beneficiary of a security interest and whereby one or more of the land use rights, buildings, Facility, plant, equipment, lease or other assets or rights of the BOT Company, is the subject of a mortgage, pledge or charge and is provided as security to Lenders for repayment of loans made to the BOT Company, in conformity with the Laws of Vietnam and (b) all other types of security capable of being created under or in accordance with the Laws of Vietnam and provided as security to Lenders for repayment of loans made to the BOT Company; provided that, Project Securities shall exclude an assignment of the Land Lease Agreement and the creation of other security interests in land for the benefit of a foreign entity as mortgagee or pledge and, for the avoidance of doubt, Project Securities shall include a mortgage or pledge of the Charter Capital.

Related to Project Securities

  • Subject Securities means: (i) all securities of the Company (including all shares of Company Common Stock and all options, warrants and other rights to acquire shares of Company Common Stock) Owned by Stockholder as of the date of this Agreement; and (ii) all additional securities of the Company (including all additional shares of Company Common Stock and all additional options, warrants and other rights to acquire shares of Company Common Stock) of which Stockholder acquires Ownership during the period from the date of this Agreement through the Expiration Date.

  • Contract Securities means the Offered Securities, if any, to be purchased pursuant to the delayed delivery contracts referred to below.

  • Exempt Securities has the meaning set forth in Section 4.4(d).

  • ETP Securities means the Series of ETP Securities to which these Conditions relates or, as the context may require, any or all securities issued by the Issuer under the Programme.

  • Series B Securities means the 11-1/2% Senior Notes due 2007, Series B, of the Company to be issued pursuant to this Indenture in exchange for the Series A Securities pursuant to the Registered Exchange Offer and the Registration Rights Agreement.

  • Equity Preferred Securities means, with respect to any Person, any trust preferred securities or deferrable interest subordinated debt securities issued by such Person or other financing vehicle of such Person that (i) have an original maturity of at least twenty years, and (ii) require no repayments or prepayments and no mandatory redemptions or repurchases, in each case, prior to the first anniversary of the latest Maturity Date.

  • Lock-Up Securities has the meaning set out in Section 5(l).

  • Purchaser Securities means the Purchaser Units, the Purchaser Common Stock, the Purchaser Preferred Stock and the Purchaser Warrants, collectively.

  • Corporation Securities means (i) shares of Common Stock, (ii) shares of Preferred Stock (other than preferred stock described in Section 1504(a)(4) of the Code), (iii) warrants, rights, or options (including options within the meaning of Treasury Regulation § 1.382-2T(h)(4)(v)) to purchase stock of the Corporation, and (iv) any other interest that would be treated as “stock” of the Corporation pursuant to Treasury Regulation § 1.382-2T(f)(18).

  • Offering Shares means the shares of Common Stock included in the Units issued pursuant to this Agreement and Investor Warrant Shares.

  • Partnership Securities has the meaning assigned to such term in Section 4.4(a).

  • Covered Securities means any note, stock, treasury stock, security future, bond, debenture, evidence of indebtedness, certificate of interest or participation in any profit-sharing agreement, collateral-trust certificate, preorganization certificate or subscription, transferable share, investment contract, voting-trust certificate, certificate of deposit for a security, fractional undivided interest in oil, gas, or other mineral rights, any put, call, straddle, option, or privilege on any security (including a certificate of deposit) or on any group or index of securities (including any interest therein or based on the value thereof), or any put, call, straddle, option, or privilege entered into on a national securities exchange relating to foreign currency, or, in general, any interest or instrument commonly known as a "security", or any certificate of interest or participation in, temporary or interim certificate for, receipt for, guarantee of, or warrant or right to subscribe to or purchase any of the foregoing.

  • Deposit Securities means, as of any date, any United States dollar-denominated security or other investment of a type described below that either (i) is a demand obligation payable to the holder thereof on any Business Day or (ii) has a maturity date, mandatory redemption date or mandatory payment date, on its face or at the option of the holder, preceding the relevant Redemption Date, Dividend Payment Date or other payment date in respect of which such security or other investment has been deposited or set aside as a Deposit Security:

  • Company Securities has the meaning set forth in Section 3.02(b)(ii).

  • NIM Securities As defined in the tenth Recital to this Agreement.

  • relevant securities means Ordinary Shares and securities carrying conversion or subscription rights into Ordinary Shares;

  • Approved Securities means securities of any State Government or of the Central Government and such bonds, both the principal whereof and the interest whereon shall have been fully and unconditionally guaranteed by any such Government;

  • Escrowed Securities means the direct, noncallable obligations of the United States of America, as described in the Escrow Agreement.

  • Non Book-Entry Preferred Securities shall have the meaning set forth in Section 2.4.

  • Securities as used herein does not include (i) securities of issuers that are affiliated with the Buyer or are part of the Buyer's Family of Investment Companies, (ii) securities issued or guaranteed by the U.S. or any instrumentality thereof, (iii) bank deposit notes and certificates of deposit, (iv) loan participations, (v) repurchase agreements, (vi) securities owned but subject to a repurchase agreement and (vii) currency, interest rate and commodity swaps.

  • Rights Offering Shares means the shares of New Common Stock (including all Unsubscribed Shares purchased by the Commitment Parties pursuant to this Agreement) distributed pursuant to and in accordance with the Rights Offering Procedures.

  • New Securities means, collectively, equity securities of the Company, whether or not currently authorized, as well as rights, options, or warrants to purchase such equity securities, or securities of any type whatsoever that are, or may become, convertible or exchangeable into or exercisable for such equity securities.

  • CHESS Approved Securities means securities of the Company for which CHESS approval has been given in accordance with the ASX Settlement Operating Rules;

  • voting equity securities means equity securities having voting power for the election of directors, whether at all times or only so long as no senior class of security has such voting power by reason of any contingency.

  • Insider Warrants is defined in the preamble to this Agreement.

  • Capital Interests in any Person means any and all shares, interests (including Preferred Interests), participations or other equivalents in the equity interest (however designated) in such Person and any rights (other than Debt securities convertible into an equity interest), warrants or options to acquire an equity interest in such Person.
