Promised Company Option definition

Promised Company Option means each option to purchase a share of Company Stock that has been promised, but not granted, as set forth on Schedule 7.7.
Promised Company Option means a Company Option that has been promised by the Company to an individual under his or her offer letter or similar employment or consulting documentation (in each case, as currently in effect) but, as of immediately prior to the Closing, has not yet been granted.

  • Prior to the Closing, each Promised Company Option shall be canceled and upon cancellation thereof, each such Promised Company Option shall be converted into and represent the right to receive an amount in cash determined in accordance with the Option Cancellation Agreement in the form attached hereto as Exhibit E (the “Promised Option Payment”).

  • Schedule 2.3(b)-(i) of the Company Disclosure Letter sets forth, as of the Original Agreement Date, a correct and complete list of all Promised Company Optionholders and the number of Treasury Shares subject to each Promised Company Option.

Related to Promised Company Option

  • Unvested Company Option means any Company Option that is not a Vested Company Option.

  • Company Option means an option to purchase shares of Company Common Stock granted under the Company Incentive Plan.

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of immediately prior to the Effective Time or will vest solely as a result of the consummation of the Merger.

  • Company Option Plan means, collectively, each stock option plan, program or arrangement of the Company.

  • Company Option Plans means the Company 1994 Incentive Stock Plan, the Company 1995 Outside Director’s Stock Option Plan and the Company 2004 Incentive Stock Plan.

  • Company Options means any options to purchase shares of Company Common Stock, whether granted pursuant to any of the Company Stock Plans or otherwise.

  • Company RSU Award means an award of restricted stock units relating to shares of Company Common Stock granted under a Company Equity Incentive Plan (including any dividend equivalent units credited thereon).

  • Company Optionholder means a holder of one or more Company Options;

  • Company Optionholders means the holders of Company Options.

  • Company RSU means each restricted stock unit award relating to shares of Company Common Stock granted under any Company Equity Plan that is outstanding immediately prior to the Effective Time and subject solely to service-based vesting requirements.

  • Company SAR means any stock appreciation right linked to the price of Company Common Stock and granted under any Company Stock Plan.

  • Parent Stock Plan has the meaning set forth in Section 6.2(a).

  • Parent Stock Plans has the meaning set forth in Section 4.5(a).

  • Company Stock Plan means any stock option plan or other stock or equity-related plan of the Company.

  • Company Stock Plans has the meaning set forth in Section 3.02(b).

  • Promised Options means promised but ungranted Options that are the greater of those (i) promised pursuant to agreements or understandings made prior to the execution of, or in connection with, the term sheet or letter of intent for the Equity Financing or Liquidity Event, as applicable (or the initial closing of the Equity Financing or consummation of the Liquidity Event, if there is no term sheet or letter of intent), (ii) in the case of an Equity Financing, treated as outstanding Options in the calculation of the Standard Preferred Share’s price per share, or (iii) in the case of a Liquidity Event, treated as outstanding Options in the calculation of the distribution of the Proceeds.

  • Company Stock Option Plans shall have the meaning set forth in Section 3.07(a).

  • Company RSUs means any restricted stock units granted under any of the Company Equity Plans.

  • Equity Award means all incentive stock options, non-statutory stock options, shares of restricted stock, restricted stock units or other incentive equity awards in respect of shares of the Company’s equity securities that have been or will be granted to you by the Company.

  • Parent Stock Option means any option to purchase Parent Common Stock granted under any Parent Stock Plan.

  • Company Stock Option means any option to purchase one or more shares of the Company’s Common Stock granted under any of the Company Stock Plans.

  • Company Equity Award means a Company Stock Option or a Company Restricted Share granted under one of the Company Stock Plans, as the case may be.

  • Company Stock Option Plan means each share option plan, share award plan, share appreciation right plan, phantom share plan, share option, other equity or equity-based compensation plan, equity or other equity based award to any employee, whether payable in cash, shares or otherwise (to the extent not issued pursuant to any of the foregoing plans), or other plan or contract of any nature with any employee pursuant to which any share, option, warrant or other right to purchase or acquire shares of the Company or right to payment based on the value of Company shares has been granted or otherwise issued.

  • Employee Share Scheme means a scheme established by a company, whether by means of a trust or otherwise, for the purpose of offering 10 participation therein solely to employees and officers of the company or a subsidiary of the company, either—

  • Employee Option means an Option granted pursuant to Section 5.

  • Company Warrant means a warrant to purchase shares of Company Capital Stock.
