Provider Owned Software definition

Provider Owned Software means Provider Software owned by Provider and used by Provider to deliver the Services. Provider Personnel means the employees of Provider and Provider Agents who perform any Services under the Agreement or a Service Agreement. Provider Personnel shall include those employees of Customer Group that are offered and accept employment with Provider in connection with the execution of a Service Agreement, if applicable.
Provider Owned Software means any Software that is owned by Provider.
Provider Owned Software means software that is owned by Provider and/or any of its Affiliates that Service Recipient agrees Provider can use to provide the Services as provided in clause 34.4.4, together with all supporting documentation, media and related materials, including any and all modifications, enhancements, updates, replacements and other Derivative Works thereof.

  • Provider shall, in each Work Order, list the Provider Owned Software and Provider Licensed Software (subject to the restrictions set forth in the second to last sentence of this Section 9.3), if any, that will be incorporated into any Deliverable or that will be necessary to be used by Xxxxxxx or any Xxxxxxx Affiliate in order to Use the Services or the Deliverables, each such SOW to be updated from time to time by Provider as needed with the prior approval of the applicable Xxxxxxx SOW Manager.

Provider Owned Software means any Software owned by Provider and used to provide the Services.

Related to Provider Owned Software

  • Proprietary Software means computer software developed for and owned by the Failed Bank for its own purpose and use.

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.
