Unless quantities are specified, Buyer makes no representations or guarantees as to the quantity of Items it will purchase from Seller, and Purchase Orders are issued to cover the purchases of Items described thereon with shipping schedules and quantities subject to confirmation by Buyer and indicated to Seller via a Purchase Order Release.
Parties will mutually review the specified delivery date on the Purchase Order and collaborate with each other to determine the actual delivery date, as indicated in a Purchase Order Release.
If a carrier or method of shipment is used that is not specified in the Purchase Order, a Purchase Order Release, a Purchase Order Revision or in these Terms and Conditions without the advance written approval of Buyer, Seller shall be debited for any increase in the cost of the shipment.
Parties will mutually decide and direct shipping on the Purchase Order, Purchase Order Release, or Purchase Order Revision.
Therefore, Seller shall notify Buyer of proposed changes to any of its business systems that might adversely impact Buyer’s ability to order or receive Items in accordance with a Purchase Order or Purchase Order Release, with sufficient advance notice to enable Buyer to confirm the impact, if any, on Buyer’s ability to order or receive such Items.
