Purchased Permits definition

Purchased Permits has the meaning set forth in Section 2.2(d).

Purchased Permits shall have the meaning provided in Section 1.2(a)(i).

Purchased Permits means all Permits used in, or necessary to, the operation of the Business in the Territory, including, to test, manufacture, market, supply or distribute the products of the Business in the Territory, including, but not limited to, all Premarket Approval Applications, 510(k) notifications, Investigational Device Exemptions, quality and other certificates issued by notified bodies and all other marketing authorizations issued by Governmental Authorities which are used by Seller or its Affiliates to test, sell, manufacture and distribute the products of the Business in the Territory.

Examples of Purchased Permits in a sentence

• All Purchased Permits are in full force and effect, and there are no Proceedings pending or, to Seller’s Knowledge, threatened that seek the revocation, cancellation, suspension or any materially adverse modification, or the imposition of any penalty with respect to, any Purchased Permits.

• Except for the consents and approvals related to the use of the Purchased Permits contemplated in the Permit Operating Agreement, no consent, action, approval, or authorization of or registration, declaration, or filing with any Governmental Body is required for the performance of the terms of this Agreement by Buyer.

• The risk of nonapproval of assignments of the Purchased Permits shall be upon Buyer, except to the extent that such nonapproval arises from or relates to Seller’s breach of any representation, warranty or covenant of Seller in this Agreement.

• All of the Permits for Seller related to the Xxxxxx Creek Mine Operations, including the Purchased Permits, have been validly issued, are final and have not been revoked.

• Seller (i) properly obtained and possesses all Permits required to own, lease, operate or use the Purchased Assets under all Laws and Regulations and (ii) is in compliance with all terms, provisions and conditions of the Purchased Permits, except, in the cases of clauses (i) and (ii), for any such failures to possess or comply as would not have a Material Adverse Effect on Seller or the Purchased Assets.

Purchased Permits means the IRL Permits, the PCPP Permits and the C2C Permits.
