Examples of Purchaser Employees in a sentence
Any such fidelity bond and errors and omissions insurance shall protect and insure Purchaser against losses, including forgery, theft, embezzlement, fraud, errors and omissions, failure to maintain any insurance policies required pursuant to this Exhibit, and negligent acts of such Purchaser Employees.
Purchaser shall maintain, at its own expense, a blanket fidelity bond and an errors and omissions insurance policy, with broad coverage on all officers, employees or other persons acting in any capacity requiring such persons to handle funds, money, documents or papers relating to the Mortgage Loans ("Purchaser Employees").
Between the date of this Agreement and Closing, Seller and the Purchaser shall cooperate in good faith to agree a protocol in relation to, inter alia, (i) the Purchaser’s communication with Business Employees who are expected to be Purchaser Employees; (ii) the conduct of any employee information and consultation processes; and (iii) the process for making offers of employment to Business Employees who are expected to be Purchaser Employees.
After the date of this Agreement, Seller and Purchaser shall cooperate promptly and in good faith in preparing the transition of the Purchaser Employees, as applicable, from coverage under the Business Benefit Plans to coverage under the Purchaser Benefit Plans and/or the Miraclon Entity Benefit Plans in accordance with this Section 5.6 effective as of the Closing Date or the Deferred Closing Date, as applicable.
Notwithstanding the foregoing, nothing herein will, after the Closing Date or the Deferred Closing Date, to the extent applicable, impose on Purchaser any obligation to retain any Purchaser Employees in its employment for any amount of time.
Purchaser also shall credit New Purchaser Employees for amounts paid under Target Benefit Plans for the plan year for purposes of applying deductibles, co-payments and out-of-pocket maximums under the employee benefit plans of Purchaser.
Purchaser (or one of its Affiliates) shall cause the Purchaser FSAP to assume the account balances (whether positive or negative) associated with the Purchaser Employees’ flexible spending accounts under the Seller FSAP (the “Transferred Account Balances”), and the Purchaser FSAP shall be responsible for reimbursement of all previously unreimbursed medical and dependent care claims incurred by the Purchaser Employees in such calendar year.
Purchaser shall be responsible for any and all wages, bonuses, commissions, employee benefits and other compensation that may be due to the Purchaser Employees arising out of their employment with Purchaser after the Closing.
However, these mechanisms do not suggest an unambiguous link between government size and growth.
As of the Closing, all of the Purchaser Employees will cease participation in any of the Employee Benefit Plans that such Purchaser Employees participated in immediately prior to the Closing that are not Assumed Plans.
