Examples of Purchaser Observer in a sentence

  • The Purchaser agrees to cause the Purchaser Designee and each successor to comply with the obligations in clause i of the preceding sentence, and the Purchaser Observer to comply with its obligations under the non-disclosure agreement referenced in paragraph 2 d vi , for the benefit of the Company and its successors.

  • For the avoidance of doubt, in no circumstances shall any Purchaser Observer be counted for purposes of voting, quorum or any other reason or be considered a director on the Company Board.

  • The Purchaser Observer and the Company shall enter into a customary board observer agreement providing for, among other things, the treatment of confidential information, indemnification, and reimbursement of expenses, reasonably acceptable to the Company and the Purchaser Observer.

  • Purchaser’s right to appoint a Purchaser Observer shall not be assignable to any other Person.

  • For the avoidance of doubt, the Specified Purchaser Observer shall have no voting rights with respect to actions taken or elected not to be taken by the Board of Directors or any committee thereof.

  • Upon termination of Purchaser’s right to appoint a Purchaser Observer and, if applicable, to designate a Purchaser Director, Purchaser shall promptly cause the Purchaser Observer or Purchaser Director, as applicable, to resign.
