Qualified Customer definition
Qualified Customer means a Basic Subscriber who, prior to the Closing, has been billed and, prior to one month following the Closing, has paid (disregarding payments subject to any rebates or similar programs) for services delivered during the period commencing two months prior to the Measurement Date and ending on the Measurement Date an amount no less than (i) for each month in such period, 50% of the Applicable Monthly Rate or (ii) 66.67% of the Applicable Monthly Rate in respect of any single month during such period. For the avoidance of doubt, in calculating a Qualified Customer for purposes of the Estimated Closing Adjustment Amount and the condition set forth in the second sentence of Section 6.2(h), the parties shall assume that no payments will be made by such Basic Subscriber after the Closing.
Qualified Customer means a customer who meets all of the following minimum criteria: (i) has demonstrated ability to pay as determined by the Sunrun credit approval process; (ii) resides within the Territory and (iii) has signed a Solar Customer Agreement to purchase a Solar Facility with a size of at least 2.00 kW DC.
Qualified Customer means a Customer that (i) is a licensee of a Qualifying Product, (ii) is maintaining an active subscription for a Qualifying Product, and (iii) is in good standing with regard to the payment of any and all fees that are due Syncfusion. Syncfusion will have full discretion of who is or who is not a Qualified Customer. In the event Syncfusion receives any information which, at Syncfusion’s discretion, would determine the Customer is not a Qualified Customer, the status will change immediately from Qualified Customer to non-qualified customer.

There shall have been no material adverse change in the Qualified Customer Accounts.
The license provided hereunder shall terminate immediately at the time that Customer ceases to be a Qualified Customer or when the Customer chooses to terminate their membership in the “Syncfusion Plus” program.

Qualified Customer means the customer of record of a qualified household.

Qualified Customer is a Customer who: (i) meets Provider’s creditworthiness standards consistent with Prudent Industry Practices; (ii) has no history of non-payment or late payments with Provider; (iii) has not, to Provider’s knowledge, ever participated in any dealings in diverted Product; (iv) is duly authorized under Applicable Laws to purchase Product; and (v) is not presently eligible for or subject to debarment, suspension or exclusion from contracting with the Federal government.
Qualified Customer is a customer of Seller who (i) was a customer prior to the Closing Date as shown on the customer list delivered to Purchaser by Seller at the Closing, and (ii) to whom Seller has made sales during the twelve month period immediately preceding the Closing Date in an amount exceeding $1,000.00.
