Qualifying Customers definition

Qualifying Customers means customers that satisfy the following criteria: (i) all customers located in a country on the European continent (for purposes of clarity, not including the Middle-East), except for the customers listed in Schedule 3.7.2 attached hereto ("Reserved Customers"), (ii) customers located in a country outside of the European continent, provided that the Group has requested and the Parent has granted the Group written approval indicating that such customer shall be a Qualifying Customer for purposes hereof, and (iii) customers whose account sales responsibility is assigned in writing by an authorized officer of the Parent to the Group, referencing this Clause 3.7.2, indicating that such customer shall be a Qualifying Customer for purposes hereof. No amounts shall be payable by Purchaser to Vendor pursuant to this Clause 3.7.2 with respect to sales by either Media Power, SeaChange EMEA SARL or SeaChange EMEA LLP. The Parties hereto agree that, and the Parent shall procure that, if the Parent and its Affiliates (other than the Group) as of the Closing Date, during the period as from the Closing Date up to and including the thirty-first of January 2013, sell SeaChange Qualifying Products to Qualifying Customers, it shall be treated as though it was a sale by the Group of SeaChange Qualifying Products to Qualifying Customers for purposes of this Clause 3.7.2. In the event of such a sale, the Parent shall inform the Vendor thereof.
Qualifying Customers are Enterprise Enrollment, Enterprise Subscription Enrollment, or Enrollment for Education Solutions customers who have active Software Assurance coverage for the Enterprise CAL Suite as of November 30, 2014.
Qualifying Customers for purposes of this Section 1.6 shall mean (1) those existing customers set forth on Schedule 2.1(t) and (2) such additional customers as shall be mutually agreed upon by Buyer and Stockholder and “Affiliated Customers” for purposes of this Section 1.6 shall mean any customer that is referred to Seller by Buyer or which results solely from the efforts of Buyer, including without limitation any current customer of Buyer that Buyer has requested that the Stockholder manage; any customer that has a pre-existing relationship with Buyer because of Xxxxx’s previous dealings with an individual, a company or an organization; any customer which results from a referral from any current or past customer of Buyer or which results from any move by an individual from an existing customer to a new company; and any customer resulting from any qualified lead or opportunity developed solely by Buyer from any tradeshow, any lead generation tool such as Hubspot or any other direct marketing initiative where Buyer directly attracted such customer. Affiliated Customer for purposes of the Section 1.6 shall not include a customer with which Xxxxx has had a prior contract, a prior relationship, or that Buyer has played any part in soliciting or closing.”

More Definitions of Qualifying Customers

Qualifying Customers for purposes of this Section 1.6 shall mean (i) those existing customers set forth on Schedule 1.6(d) and (ii) such additional customers primarily resulting from efforts of the Stockholder or any other employee or independent contractor listed on Schedule 2.1(r). “Non-Qualifying Customers” for the purposes of this Section 1.6 shall mean those customers (i) primarily resulting from the past or future efforts of the Buyer (i.e., lead generation, existing Buyer relationship, Buyer attendance at tradeshow, Buyer RFP, etc.) and (ii) assigned to and the primary responsibility of any employee or independent contractor listed on Schedule 2.1(r).
Qualifying Customers for purposes of this Section 1.6 shall mean (i) those existing customers set forth on Schedule 2.1(t) and (ii) such additional customers as shall be mutually agreed upon by Buyer and Stockholder.
Qualifying Customers means, as of any date of determination, the aggregate number of Subscribers as of the last day of the most recent month ending not more than 45 days prior to the date of determination; PROVIDED, HOWEVER, that Qualifying Customers shall not include any Subscribers in any geographic service area in which (i) the BANX Affiliates shall have implemented the Business Relationship Agreement; and (ii) Borrower or any other Covenant Party is then providing transport services, and is then entitled to receive contractual monthly revenues therefor, under the Business Relationship Agreement.
