Qualified Lead definition

Qualified Lead means a Person (including, but not limited to, a Vivint Solar Customer) that expresses to Vivint Solar interest in purchasing Vivint’s products or services. For the avoidance of doubt, any Person who expresses any interest in a product or service within the Vivint Business as defined in the Non-Compete Agreement shall be deemed a Qualified Lead pursuant to this Schedule 2. “Vivint Solar Customer” means a Person that has entered into an agreement with Vivint Solar for the provision by Vivint Solar to such customer of Vivint Solar’s products or services; provided, that such Person entered into such agreement with Vivint Solar prior to entering into any agreement with Vivint for provision of Vivint’s products or services. If a Qualified Lead enters into an agreement for the provision by Vivint to such customer of Vivint’s products or services, then within forty-five (45) days of the date of installation pursuant to such agreement, Vivint shall pay to Vivint Solar the applicable fee due as described in this Schedule 2. If a Vivint Solar Customer enters into an agreement for the provision by Vivint to such customer of Vivint’s products or services, then Vivint shall pay to Vivint Solar the applicable fee due as determined pursuant to Section 6 below and otherwise as described in this Schedule 2. For each installation pursuant to such an agreement with a Qualified Lead or a Vivint Solar Customer, Vivint shall pay to Vivint Solar fifty percent (50%) of the fully-loaded commission (i.e., across all tiers of such commission, if the same has tiers) that was paid to Vivint’s employees or Subcontractors in the then-most recent year for similar lead generation services. For the avoidance of doubt (1) Vivint Solar will not be paid any element of compensation paid to any Vivint employee or Subcontractor except for a portion of the applicable commission calculated in accordance with the foregoing (by way of example and not limitation, no element or portion of equity compensation, residuals or bonuses will be paid to Vivint by Vivint Solar hereunder), (2) such commission shall be payable with respect to any Vivint Solar Customer, irrespective of whether Vivint Solar has provided a referral or lead to Vivint for such Vivint Solar Customer; provided, if a Person enters into an agreement with both Vivint and Vivint Solar on the same day, then such Person shall not be a Vivint Solar Customer and no commission shall be paid, unless such Person is a Qualified Lead.
Qualified Lead means a sales opportunity that satisfies all of the following: (a) Information regarding the lead is submitted by Partner to Licensor via the applicable Lead Form; (b) the lead is not a current Licensor customer; (c) Licensor has not engaged in Significant Sales Activity with the lead within 180 days prior to the date Partner submits the Lead Form to Licensor; (d) the lead is given solely and exclusively to Licensor (and specifically not to any other competitor or similar software vendor); and (e) Partner arranges and attends a formal meeting to introduce Licensor to decision-making personnel at the lead within 30 days of Licensor accepting the Lead Form.
Qualified Lead means a lead with an Exclusive Customer for which HealthGate delivers written notice to GEMS (a) identifying such Exclusive Customer, (b) identifying a contact at such Exclusive customer, (c) summarizing the web capabilities of and HealthGate proposals made to such Exclusive Customer as of the date of such notice, and (d) describing any discussions between HealthGate and such Exclusive Customer as of the date of such notice.

Qualified Lead has the meaning set forth in Section 4.2.2 below.
Qualified Lead means a Lead that has been approved by IPsoft and converted to and associated with an Opportunity by IPsoft. This requires confirmation from an authorized IPsoft partner manager and issuance of a deal registration ID number created in IPsoft’s CRM system.
Qualified Lead means any individual who (a) is a diabetic or is calling on behalf of a diabetic, (b) receives Medicare or participates in a Medicaid that the Company accepts or is a member of a primary insurance that the Company accepts, (c) calls a dedicated toll free advertising number, contacts the Company via the internet through a specific line on the Company’s website or otherwise mentions Fxxxxxx in connection with a phone call or internet communication to the Company or any third party service provider, and (d) receives any Core Diabetic Supplies from the Company (it being understood that any person who satisfies (a) through (d) above with respect to the initial sale shall be a Qualified Lead for purposes of this Agreement and with respect to any sales by the Company of products or services to such individual, such sales shall be included as part of the Total Diabetes Profit).
Qualified Lead means (i) a Consenting User who visits a website or other online property owned or controlled by Publisher (or one of its Sub-Publishers) and, as a result of visiting such property, submits information or completes an action as specified in an IO; (ii) a call by a Consenting User which results from their dialing or clicking on a telephone number included in Creatives or other marketing content promoting products or services offered by Publisher (or its customers’), where the call is answered and the call duration equals or exceeds the minimum call duration specified in the applicable IO, or meets some other requirement or condition of payout as described in the applicable IO; (iii) a Consenting User’s information is collected by the Publisher on their website and is pinged to Publisher’s data lead system and, if it meets the conditional requirements for acceptance and purchase, is posted with all Data Record information in accordance with the applicable IO; and/or (iv) an outbound call resulting in a transfer of a Consenting User to Buyer. If the relevant IO does not specify the information to be submitted or action to be qualifying for a lead to be treated as a Qualifying Lead, then such lead or call shall be treated as a Qualifying Lead upon completing the information fields customarily required for processing of an initial lead for the type of product or service specified in the IO. All Qualified Leads must be in full compliance with the terms of the applicable IO and this Agreement. A Qualified Lead may include a Consumer Initiated Call, Call Transfer, and/or a Data Record.
Qualified Lead means a consumer lead (“Lead”) acquired when a consumer provides complete registration data on a Site through a pre-approved opt-in method as specified in the applicable IO and who meets Fluent's screening criteria as described in the IO, who is acquired within the Permitted Parameters (defined below) and which is not an Invalid, Duplicate or Fraudulent Lead. For these purposes, (i) an Invalid Lead is a Lead which does not contain valid data inputs for all of the required fields, (ii) a Duplicate Lead is a lead which was sent to Fluent by Publisher in the prior thirty (30) days and (iii) a Fraudulent Lead is a lead that is the product of fraud, manipulation of information, or incentivized marketing (unless otherwise permitted in an IO), on the part of Publisher or any of its affiliates or is included in a batch of Leads that have the indicia of being Fraudulent Leads. These may include: Having click-through rates that are much higher than industry averages where solid justification is not evident; Having only click programs generating clicks with no indication by site traffic that it can sustain the clicks reported; Having been shown to be fraudulent leads as determined by Fluent’s clients; or Using fake redirects, automated software, and/or fraud to generate clicks or leads. Fluent may develop other factors that indicate Fraudulent Leads. Fluent may reject Invalid or Duplicate Leads in real time. Fluent may reject Fraudulent Leads within 30 days after the end of the month in which the Lead was generated. In that event, Fluent shall send Publisher notice identifying the Leads it believes are fraudulent together with the date/time stamp, referring URL and the reasons why Xxxxxx believes the Lead(s) is/are fraudulent. The parties agree to work in good faith to resolve any such dispute regarding Leads. Any Lead information deemed by Fluent to not be a Qualified Lead or not paid for by Fluent for any reason, shall be the Confidential Information of Publisher and may not be used in any manner whatsoever by Fluent.
