Rating Confirmation Plan definition

Rating Confirmation Plan means a plan provided by the Investment Manager (acting on behalf of the Issuer) to the Rating Agencies setting forth the timing and manner of acquisition of additional Collateral Debt Obligations and/or any other intended action which will cause confirmation of the Initial Ratings, as further described and as defined in the Investment Management Agreement.
Rating Confirmation Plan means a plan provided by the Collateral Manager (acting on behalf of the Issuer) to the Rating Agencies setting forth the intended timing and manner of acquisition of additional Collateral Obligations and/or any other intended action which will cause confirmation of the Initial Ratings, as further described and as defined in the Collateral Management and Administration Agreement.
Rating Confirmation Plan means a plan prepared and presented by the Investment Manager (acting on behalf of the Issuer) to the Rating Agency as soon as practicable after the occurrence of an Effective Date Rating Event setting out the timing and manner of acquisition of additional Collateral Debt Obligations and/or any other intended action which will cause confirmation or reinstatement of the Initial Ratings, as further described and as defined in the Investment Management Agreement. For the avoidance of doubt, the Investment Manager shall only present to the Rating Agency a single Rating Confirmation Plan, which may not, without the prior written consent of the Class A Noteholders acting by Extraordinary Resolution, be subsequently amended or supplemented or replaced with a new plan.

  • Credit Rating Agency means a nationally recognized credit rating agency that evaluates the financial condition of issuers of debt instruments and then assigns a rating that reflects its assessment of the issuer’s ability to make debt payments.
