Realisation Agent definition

Realisation Agent means Barclays Bank PLC or any replacement realisation agent appointed pursuant to Condition 10 below

  • The Charged Assets Realisation Agent shall, on behalf of the Issuer, sell or procure the sale or other means of realisation of the Charged Assets and shall be entitled to deduct any costs, expenses, taxes and duties incurred in connection with any disposal, realisation or transfer of such Charged Assets.

  • The Charged Assets Realisation Agent shall not be responsible or liable for any failure to sell or realise the Charged Assets or any delay in doing so nor for any loss suffered or incurred by any person as a result of their sale or other means of realisation.

  • The Trustee shall have no responsibility or liability for the performance by the Realisation Agent of its duties under this Condition 4(c) or for the price at which any of the Mortgaged Property may be sold or otherwise realised.

  • Nor shall the Realisation Agent be liable to the Issuer, the Noteholders, the Trustee or any other person merely because a higher price could have been obtained had the sale or other realisation been delayed or to pay to the Issuer, the Noteholders, the Trustee or any other person interest on any proceeds from the sale or other realisation held by it at any time.

  • Unless otherwise specified in the Constituting Instrument, a Realisation Agent will be appointed in respect of a particular Series of Notes on the terms set out in the Constituting Instrument.

  • Any such determination by the Realisation Agent shall be in its sole discretion and shall be binding on the Issuer, the Trustee, the Counterparty and the Noteholders.

  • The Realisation Agent shall not be liable (i) to account for anything except the actual net proceeds of the Mortgaged Property received by it or (ii) for any costs, charges, losses, damages, liabilities or expenses arising from or connected with the sale or otherwise unless such costs, charges, losses, damages, liabilities or expenses shall have been caused by its own fraud or wilful default.
