Reallocation Request definition

Reallocation Request has the meaning stated in Section 3.4(a) of the Exchange Note Sale Agreement.

Reallocation Request means a request by a Requesting Party to the Servicer to purchase and reallocate a 2017-A Lease and related 2017-A Vehicle due to an alleged breach of a representation and warranty set forth in Section 3.03 of the Servicing Supplement.

Reallocation Request has the meaning specified in Section 2.3(d)(i) of the Exchange Note Sale Agreement.

• The Indenture Trustee shall not be deemed to have knowledge that any Reallocation Request remained unresolved for 180 days unless a Responsible Officer of the Indenture Trustee has actual knowledge that such Reallocation Request in fact remained unresolved for 180 days or has received written notice evidencing that such Reallocation Request in fact remained unresolved for 180 days.

• If any Requesting Party makes a Reallocation Request, and the Reallocation Request has not fulfilled or otherwise resolved to the reasonable satisfaction of the Requesting Party within 180 days of the Servicer’s receipt thereof, the Requesting Party may refer the matter, in its discretion, to either mediation (including non-binding arbitration) or binding third-party arbitration, or may file a legal action in court of competent jurisdiction.

More Definitions of Reallocation Request

Reallocation Request means a request to the Operator for a Reallocation under clause 16.2. Reallocation Amount is defined in clause 17.3.

Reallocation Request as set forth in Section 1.1 of the Credit Agreement are hereby amended and restated in their entirety as follows:

Reallocation Request means a written request from Borrowers’ Agent to reallocate up to $400,000,000 of the unused Revolving Commitments of any single Revolving Facility to the Revolving Commitments of any other Revolving Facility, which request shall provide the amount of the reallocation (not to exceed the Reallocated Amount) and specify the Reallocation Period.
