REC Annual Report definition

REC Annual Report means a report substantially in the form provided in Exhibit C-3 that is submitted by Seller to Buyer and the IPA on an annual basis by July 15 following the end of a Delivery Year, which contains information related to the developmental progress and/or REC Deliveries of Designated Systems included in this Agreement.

  • This daily average will be based on subscription start and end dates comprised of the day a subscription start or end request was submitted to the utility, as entered in the REC Annual Report.

  • Once annually on or prior to November 15 following a Delivery Year, Buyer shall review the performance of the REC deliveries made during such Delivery Year, using information provided in the REC Annual Report submitted pursuant to Section 10(c) of the Cover Sheet, and determine the True-Up Payment Amount.

  • It is Seller’s responsibility to ensure the accuracy and completeness of information contained in its REC Annual Report.

  • Failure by Seller to submit its REC Annual Report by July 15 or respond to any request for clarifications that comply with the requirements of Exhibit D by October 13 following such submission deadline shall constitute an Event of Default.

  • Such First Year Report shall be submitted concurrent with Seller’s invoice.1 Seller shall submit to the IPA a REC Annual Report substantially in the form of Exhibit D by July 15 following the end of each Delivery Year.

  • If items on the REC Annual Report are deficient or require clarification, the IPA may issue to Seller a written notice requesting clarification regarding such submission and Seller must respond to such request by the deadline specified in such written notice.

  • After Energization, once annually on or prior to November 15 following a Delivery Year, the IPA shall review the performance of the REC deliveries made during such Delivery Year, using information provided in the REC Annual Report submitted pursuant to Section 10(c) of the Cover Sheet, and determine the True-Up Payment Amount for such Delivery Year as follows: The IPA shall calculate the Delivery Year Average Subscription Rate.

  • In no event will Seller be allowed to provide further clarification on its REC Annual Report after October 13 following such submission deadline of the REC Annual Report.

Related to REC Annual Report

  • Annual Report means any Annual Report provided by the Issuer pursuant to, and as described in, Sections 3 and 4 of this Disclosure Certificate.

  • Quarterly Report means Servicer’s report to me that includes, among other information, the results of the IRG’s Compliance Reviews for the calendar quarter covered by the report, as required by Paragraph D.1 of Exhibit E;

  • Form 10-K is defined in Section 7.1(b).

  • Financial Report means the annual financial report prepared under Chapter 2M of the Corporations Act for the Company and its controlled entities;

  • Audited financial report means and includes those items specified in Section 5 of this regulation.

  • Quarterly Financial Statements is defined in Section 6.2(a).

  • Final Report means the report described as a final report in 14 RCW 42.17.080(2).

  • Audited Balance Sheet means the audited balance sheet of the company prepared for the purposes of the Companies Acts for a financial year unless an audited consolidated balance sheet dealing with the state of affairs of the company and its subsidiary undertakings required to be dealt with in group accounts has been prepared for those purposes for the same financial year, in which case it means that audited consolidated balance sheet, and in that case all references to reserves shall be deemed to be references to consolidated reserves;

  • Fiscal Quarter means a fiscal quarter of any Fiscal Year.
