Recovery Proceeds means any Insurance Proceeds, any security deposit applied to an amount owed by a Lessee, any Total Loss Payoff, Early Termination Cost and End of Lease Term Liability received from a Lessee and any other net recoveries received by the Servicer with respect to the 20[__]-[__] Lease that have been charged-off, minus amounts included in such items that represent third-party charges paid or payable (such as fees, taxes and repair costs).

Recovery Proceeds means the difference between (a) proceeds received after Claim Payment from the foreclosure upon, the liquidation of, or the exercise of any other rights or remedies, with respect to the Collateral and the exercise of any other rights and remedies with respect to any assets of a Borrower or a Guarantor or any other source of payment on the Loan Facility and (b) the sum of the Collateral Protection Costs, Enforcement Costs and Realization Costs incurred by Ex-Im Bank, all to the extent not reimbursed by a Borrower, any Guarantor or any other Person, as well as the Collateral Protection Costs, Enforcement Costs and Realization Costs (in an aggregate amount not to exceed the Costs Maximum Amount) incurred by Lender and not reimbursed by a Borrower, any Guarantor or any other Person, when Ex-Im Bank does not request assignment of the applicable Loan Documents upon Claim Payment in accordance with Section 5.04(b) or otherwise.

The amount of any gross Insurance Proceeds and Liquidation Proceeds received with respect to any Mortgage Loan or REO Property minus the amount of any unreimbursed Servicing Advances, unreimbursed Periodic Advances or unpaid Servicing Fees, in each case, with respect to the related Mortgage Loan, are the "Net Recovery Proceeds" with respect to such Mortgage Loan or REO Property.
