Redemption Restriction. A restriction on the ability of the Partnership to redeem the Partnership Units as set forth in Section 9.1(A).
Redemption Restriction. ’ means that (without the written consent of a majority in nominal value of, or the sanction of an extraordinary resolution passed at a separate general meeting of, the holders of the Preference Shares) for a one year period commencing on the Relevant Dividend Payment Date:

  • If any dividend on the Preference Shares is not paid on a Dividend Payment Date (the ‘‘Relevant Dividend Payment Date’’) (or a sum is not set aside to provide for its payment), the Dividend Restriction and Redemption Restriction shall apply.

Redemption Restriction means, in respect of a redemption or repurchase otherwise required pursuant to the terms of Section 3.02 or Section 3.05, a restriction on such redemption or repurchase contained in any instrument evidencing any Indebtedness of the Company or any of its Subsidiaries or under applicable law, other than Indebtedness owed by the Company to any of its Subsidiaries. For purposes of Section 2.04, a requirement in the terms of any such instrument to apply any portion of the proceeds of an Asset Sale or debt or equity issuance to any other Indebtedness of the Company or any of its Subsidiaries to the extent reducing Net Cash Proceeds from such sale or issuance pursuant to clause (iv) of the definition of Net Cash Proceeds shall be deemed to be a restriction on payment of such amount as a redemption or repurchase under Section 3.02 or Section 3.05 under the terms of an instrument evidencing Indebtedness of the Company or any of its Subsidiaries. If Net Cash Proceeds in connection with any Asset Sale include any Cash Equivalents included therein by virtue of the last sentence of the definition of Cash Equivalents ("Non-Cash Proceeds") then to the extent the Net Cash Proceeds of such Asset Sale other than Non-Cash Proceeds are less than the Take-Out Proceeds from such Asset Sale, the amount of such deficiency shall be treated as a payment subject to a Redemption Restriction for purposes of Section 2.04 unless the amount of such deficiency is applied by the Company to prepay the Notes.
