Reference Money Market Dealers definition

Reference Money Market Dealers means leading dealers, selected by the Company, of publicly traded debt securities of the Company in The City of New York (at least one of which shall be the Remarketing Dealer or one of its affiliates) who are also leading dealers in money market instruments;

Incorporated and a fifth Reference Money Market Dealer to be selected by the Company and their respective successors; provided, however, that if any of the foregoing or their affiliates shall cease to be a leading dealer of publicly traded debt securities of the Company in The City of New York which is also a leading dealer in money market instruments (a "Primary Money Market Dealer"), the Remarketing Dealer shall substitute therefore another Primary Money Market Dealer.

  • Reference Dealer Rate means with respect to the Reference Dealers and the Make Whole/Three- Month Par Call Optional Redemption Date, the average of the five quotations of the mid-market annual yield to maturity of the Reference Stock or, if the Reference Stock is no longer outstanding, a similar security in the reasonable judgment of the Reference Dealers, at the Determination Time and on the Determination Date in each case specified in the applicable Final Terms, quoted in writing to the Issuer by the Reference Dealers; and
