Regulated Investor definition

Regulated Investor means a holder of any shares of the Corporation’s capital stock that is a bank holding company or financial holding company or an affiliate thereof under the BHC Act, together with any affiliates (as defined under the BHC Act) of such holder.

Regulated Investor has the meaning set forth in Section 7.9.E(ii).

Examples of Regulated Investor in a sentence

• The reasonable expense of obtaining an opinion described in the preceding sentence shall be shared equally by the Partnership and such Regulated Investor.

• The Corporation shall perform and observe (i) all of its obligations to each holder of Series A Preferred Shares set forth in the Articles of Incorporation, the Amended Certificate of Designation and the Corporation's Bylaws, (ii) all of its obligations to each holder of Registrable Shares (as defined and set forth in the Registration Rights Agreement) and (iii) all of its obligations to each Regulated Investor under the Regulated Investor Letter Agreement.

• In addition, from time to time, in connection with the foregoing activities, any Regulated Investor may have information that may be useful to the Company or its other stockholders (which information may or may not be known by the members of the Board of Directors), and neither any Regulated Investor nor any of such Regulated Investor’s Affiliates shall have any duty to disclose any information known to such Person to the Company or any of its other stockholders.

• In addition, each Regulated Investor and each of their respective Affiliates may currently have or in the future develop products or services that compete directly or indirectly with those of the Company.

More Definitions of Regulated Investor

Regulated Investor means any stockholder that is a bank, bank holding company, financial holding company or an entity that is controlled by a bank, a bank holding company or a financial holding company, in each case, as such terms are defined under the Bank Holding Company Act.

Regulated Investor means BancBoston Ventures, Inc. and any other ------------------ Investor subject to regulation by a Regulatory Agency.

Regulated Investor means Paribas and any other Investor which is subject to the provisions of Regulation Y promulgated by the Board of Governors of the Federal Reserve, or any successor thereto.

Regulated Investor has the meaning set forth in Section 3.7(b)(ii). “Regulation S” means Regulation S under the Securities Act. “Regulatory Issue” has the meaning set forth in Section 3.7(b)(ii). “REIT” means a real estate investment trust under the Code.

Regulated Investor means National City Venture Corporation and any other holder of Securities subject to regulation by a Regulatory Agency.

Regulated Investor has the meaning given to it in Section 6.3(b). “Regulatory Issue” has the meaning set forth in Section 6.3(b). “REIT” means a real estate investment trust under the Code.

Regulated Investor shall have the meaning set forth in Section 11(a)(i) hereof.
