The reasonable expense of obtaining an opinion described in the preceding sentence shall be shared equally by the Partnership and such Regulated Investor.
The Corporation shall perform and observe (i) all of its obligations to each holder of Series A Preferred Shares set forth in the Articles of Incorporation, the Amended Certificate of Designation and the Corporation's Bylaws, (ii) all of its obligations to each holder of Registrable Shares (as defined and set forth in the Registration Rights Agreement) and (iii) all of its obligations to each Regulated Investor under the Regulated Investor Letter Agreement.
The Company, each Investor and each other Holder further acknowledge that each Regulated Investor and their respective Affiliates are in the business of engaging in activities, including investing in, financing and advising companies that may be competitive with or which may have products or services which compete directly or indirectly with those of the Company and its subsidiaries.
In addition, from time to time, in connection with the foregoing activities, any Regulated Investor may have information that may be useful to the Company or its other stockholders (which information may or may not be known by the members of the Board of Directors), and neither any Regulated Investor nor any of such Regulated Investor’s Affiliates shall have any duty to disclose any information known to such Person to the Company or any of its other stockholders.
In addition, each Regulated Investor and each of their respective Affiliates may currently have or in the future develop products or services that compete directly or indirectly with those of the Company.
