Regulation S Definitive Certificates definition

Regulation S Definitive Certificates. Has the meaning specified in Section 3.01(e).
Regulation S Definitive Certificates means those Certificates which are offered and sold outside the United States in an “offshore transaction” (within the meaning of Regulation S) and for the time being are in substantially the form set out in Part C (Form of Regulation S Definitive Certificate) of Schedule 1 (Form of Certificates) to the Declaration of Trust and includes any replacements issued pursuant to Condition 16 (Replacement of Certificates);
Regulation S Definitive Certificates means the Notes in definitive, fully registered form, without coupons, substantially in the form set out in Part A of Schedule 2;

  • Benefit of the Conditions Unless this Regulation S Global Certificate has been exchanged or cancelled, the holder hereof shall, except as herein provided, be entitled to the same rights and benefits and subject to the Conditions as if such holder were the holder of the Regulation S Definitive Certificates for which this Regulation S Global Certificate may be exchanged.

  • On the Issue Date, the Issuer will subscribe for the Class E Notes in the form of Regulation S Definitive Certificates and as such the Class E Notes are not being offered on the Issue Date.

  • Such Regulation S Definitive Certificates shall be exchanged for interests in Regulations S Global Certificates and/or Rule 144A Global Certificates (as applicable) upon the sale of the Class E Notes by the Issuer in accordance with Condition 2(p) (Sale of Class E Notes held by the Issuer).

Regulation S Definitive Certificates means the Certificates in definitive, registered form substantially in the form set out in Part C of Schedule 1 to the Trust Deed;

Regulation S Definitive Certificates means the Class A Regulation S Definitive Certificates, the Class B Regulation S Definitive Certificates, the Class C Regulation S Definitive Certificates, the Class D Regulation S Definitive Certificates or the Subordinated Regulation S Definitive Certificates, or (as the context may require) any of them.
Regulation S Definitive Certificates means Certificates in definitive registered form issued by the Trustee which are offered and sold outside the United States to non U.S. persons in an "offshore transaction" (within the meaning of Regulation S) and for the time being are in substantially the form set out in part B (Form of Regulation S Definitive Certificate) of schedule 1 (Forms of Certificates) of the Issuer Declaration of Trust or the amount thereof for the time being outstanding and includes any replacements for the Regulation S Global Certificate issued pursuant to Condition 16 (Replacement of Definitive Certificates);
Regulation S Definitive Certificates means the Senior Regulation S Definitive Certificates or the Subordinated Regulation S Definitive Certificates, or (as the context may require) any of them.
