Related Employee definition

Related Employee means, with respect to a Unitholder who is not an employee or independent contractor of the Company or any of its Subsidiaries, any individual who is an employee or independent contractor of the Company or any of its Subsidiaries that is a family member, beneficiary, partner, trustee or direct or indirect equity owner of such Unitholder.

Related Employee means an employee (including a person deemed to be an employee pursuant to Section 414(n) of the Internal Revenue Code) of a Member Company or of an Affiliated Company who is not an Employee as defined in this Plan.

Related Employee has the meaning set forth in Section 4.23(a).

Related Employee means with respect to any Management Stockholder or Optionholder who is not an employee or consultant of the Company or one of its Subsidiaries, the Related Employee identified on Schedule A or Schedule B, and generally, with respect to any Management Stockholder or Optionholder, the employee or consultant of the Company or Subsidiary: (i) who directly or indirectly transferred to the Management Stockholder or Optionholder the Shares owned by the Management Stockholder or Optionholder; or (ii) with whom such Management Stockholder or Optionholder is otherwise Affiliated; or (iii) whose Family Entity the Management Stockholder or Optionholder is an equity owner or beneficiary of; or (iv) of whom the Management Stockholder or Optionholder would qualify as a Permitted Transferee pursuant to Section 5.1(a), (b) or (c). For purposes of this Agreement (i) (A) Xxxxx X. Xxxx shall not be deemed a Related Employee of Xxxxx X. Xxxx, for so long as Xxxxx X.
