Research and Development Payments definition

Research and Development Payments means those payments received by --------------------------------- GenVec from a third party licensee of a Licensed Product that are specifically intended to support research and development on such Licensed Product, including: (i) payments to fund the actual fully burdened direct costs of research and development by GenVec to be performed subsequent to the execution by GenVec of a written agreement with a third party providing for the reimbursement of such expenses, plus reasonable GenVec overhead, including general and administrative expenses, allocated to such research and development in accordance with GAAP, consistently applied; (ii) payments to cover the actual payments by GenVec to third parties for research and development relating to the Licensed Product; and (iii) payments for any other expenses which GenVec can demonstrate are directly related to such research and development and which can be reasonably allocated in accordance with GAAP, consistently applied.
Research and Development Payments means funds paid to SRA consistent with section 6(1)(a) of the Act for Research and Development Activities.
Research and Development Payments means grants, milestone payments and other financial contributions payable to You at the intervals stated in Your collaboration agreements or other written contractual agreements declared to Us and in connection with Your Research Projects.

  • The final Commercial Milestone Payment and Profit Share payment is due ninety (90) days after the date of termination, or ninety (90) days after the last sale made pursuant to Section 15.9. For clarity, after the termination of this Agreement, Takeda will be relieved from payment of the Milestone Payments, Commercial Milestone Payments and Research and Development Payments, other than as provided in this Section 15.10, which were not otherwise due at the time of the termination of this Agreement.
