The final Commercial Milestone Payment and Profit Share payment is due ninety (90) days after the date of termination, or ninety (90) days after the last sale made pursuant to Section 15.9. For clarity, after the termination of this Agreement, Takeda will be relieved from payment of the Milestone Payments, Commercial Milestone Payments and Research and Development Payments, other than as provided in this Section 15.10, which were not otherwise due at the time of the termination of this Agreement.
PAYMENT OF FUNDS The Commonwealth must pay to SRA Research and Development Payments and Commonwealth Matching Payments by a method agreed by both parties.
SRA must: keep complete and detailed accounts and records of receipt, use and expenditure of the Funds in accordance with good accounting practice including all applicable Australian accounting standards; keep the accounts and records referred to in clause 25.6(a) separately in relation to the Research and Development Payments and Commonwealth Matching Payments; and keep accounts and records referred to in clause 25.6(a) to enable disclosure of the full costs of the Research and Development Activities.
The Research and Development Payments shall cover all reasonable expenses to be incurred by Integral pursuant to the Research and Development Plan, which shall include Integral’s out-of-pocket expenses, purchases, and contracted services, as well as all internal and external contracted services and FTE Costs (the “Expenses”).
