ROFO Asset definition

ROFO Asset means a Transferred Asset with respect to which all or a portion of such Transferred Asset is occupied by a ROFO Party under a ROFO Document, as more specifically set forth on Schedule E attached hereto.

ROFO Asset means, subject to the removal or replacement rights set forth in Section 3.1, the assets set forth on Annex A, as further described therein.

ROFO Asset means any of the ROFO Assets.

Examples of ROFO Asset in a sentence

• The ROFO Notice shall include any material terms, conditions and details as would be necessary for a Partnership Group Member to make a responsive offer to enter into the Proposed Transaction with the applicable ROFO Asset Owner, which terms, conditions and details shall at a minimum include any terms, condition or details that such ROFO Asset Owner would propose to provide to non-Affiliates in connection with the Proposed Transaction.

• If no ROFO Response is delivered by the Partnership Group within such 90-day period, then the Partnership Group shall be deemed to have waived its right of first offer with respect to such ROFO Asset.

• Should the Company not acquire Carlsbad during such 18 months, the project will become a CEG ROFO Asset.

• If no ROFO Response is delivered by the Partnership Group within such 60-day period, then the Partnership Group shall be deemed to have waived its right of first offer with respect to such ROFO Asset.

• If no ROFO Response is delivered by the Partnership within such 60-day period, then the Partnership shall be deemed to have waived its right of first offer with respect to such ROFO Asset, except to the extent reinstated as provided in Section 4.2(e).

More Definitions of ROFO Asset

ROFO Asset means (i) any right, title or interest in any ethanol storage and any ethanol terminal assets that any Green Plains Entity may acquire or construct in the United States during the ROFO Period, including any product storage tanks and related transloading and logistical assets for the holding and transloading of ethanol; (ii) any right, title or interest in any fuel storage or terminal facilities that any Green Plains Entity may acquire or construct in the United States during the ROFO Period; and (iii) any right, title or interest in any ethanol transportation or fuel transportation assets that any Green Plains Entity currently owns or may acquire in the United States during the ROFO Period.

ROFO Asset is defined in Section 4.2(a).

ROFO Asset means equipment, pipelines, tanks and tangible personal property used for the gathering, transportation and plant separation of Hydrocarbons from xxxxx that are owned and operated by SN and SN Subsidiaries.

ROFO Asset means any right, title or interests in (i) the Xxxxxxxx Phase II and Xxxxxxxx Phase III projects and (ii) any midstream infrastructure assets and businesses that any of the US Development ROFO Entities may acquire or construct in the future, which assets shall include the terminal facilities, pipelines, storage tanks, equipment, machinery and the real property appurtenant thereto.

ROFO Asset. (and collectively the “ROFO Assets”) means (i) the projects listed in Schedule A of this Agreement; and (ii) all future operating solar and wind projects located within the Territory developed by Persons sponsored by or under the control of Brookfield;

ROFO Asset is defined in Section 6.1.

ROFO Asset means, subject to Clause 3.3 and Clause 4.2(c) hereof, any Construction Asset or Operating Asset in which any AQN Company directly or indirectly holds a Financial Interest (other than through Financial Interests in any AAGES Company or in any publicly traded entity) that (a) was developed or sponsored prior to commercial operation by an AQN Company, or (b) in which an AQN Company has invested by any instrument prior to the Commercial Operation Date thereof, or (c) that AQN otherwise expressly agrees in writing will constitute a ROFO Asset hereunder.
