ROFR Space definition

ROFR Space means the approximately 10,000 rentable square foot space located in the northwest corner of the second floor of the Building, as shown on Exhibit G attached hereto, which is not occupied by a tenant or which is occupied by a then existing tenant whose lease is expiring within 9 months or less and such tenant does not wish to renew (whether or not such tenant has a right to renew) its occupancy of such space. Tenant shall be entitled to exercise its right under this Section 39(a) only with respect to the entire ROFR Space described in such Pending Deal Notice (“Identified Space”). Within 10 calendar days after Tenant’s receipt of the Pending Deal Notice, Tenant shall deliver to Landlord written notice (the “Space Acceptance Notice”) if Tenant elects to lease the Identified Space. Tenant’s right to receive the Pending Deal Notice and election to lease or not lease the ROFR Space pursuant to this Section 39(a) is hereinafter referred to as the “Right of First Refusal.” If Tenant elects to lease the Identified Space by delivering the Space Acceptance Notice within the required 10 calendar day period, Tenant shall be deemed to agree to lease the Identified Space on the same general terms and conditions as this Lease except that the terms of this Lease shall be modified to reflect the terms of the Pending Deal Notice for the rental of the Identified Space. Tenant acknowledges that the term of this Lease with respect to the Identified Space may not be co-terminous with the Term of this Lease with respect to the original Premises. If Tenant fails to deliver a Space Acceptance Notice to Landlord within the required 10 calendar day period, Tenant shall be deemed to have waived its rights under this Section 39(a) to lease the Identified Space, and Landlord shall have the right to lease the Identified Space to the third party subject to the Pending Deal (or an affiliate of such third party) (“Pending Deal Party”) on substantially the same business terms and conditions set forth in the Pending Deal Notice. Notwithstanding the foregoing or Section 39(b), Tenant’s Right of First Refusal shall be restored if Landlord fails to enter into an agreement to lease the Identified Space to the Pending Deal Party within 6 months after Landlord’s delivery of the Pending Deal Notice to Tenant. Notwithstanding anything to the contrary contained herein, Tenant’s rights under this Section 39(a) shall terminate and be of no further force or effect after the date that is 9 months prior ...

Examples of ROFR Space in a sentence

  • If Tenant shall so elect to lease the ROFR Space (and provided that the conditions in clauses (i) through (iii) above continue to exist at the time of execution of such lease or amendment), Landlord shall furnish a commercially reasonable draft lease or lease amendment incorporating such terms and conditions set forth in the ROFR Notice, and Tenant shall, within ten (10) days after receipt of such lease or amendment, execute and deliver the same to Landlord.

  • If Tenant does not timely elect to lease the ROFR Space as set forth above, then Tenant shall have no further rights with respect to the ROFR Space referenced in the specific ROFR Notice and Landlord shall have the right to enter into a lease substantially consistent with the Lease Offer.

  • Once Tenant has elected to lease any ROFR Space, Tenant's failure to execute and deliver such a lease or amendment shall have no effect on Tenant's obligation to lease the ROFR Space, unless Landlord shall elect to nullify Tenant's election as a result of such failure.

  • Tenant shall notify Landlord ("Tenant's ROFR Acceptance Notice") within the ten (10) days after the ROFR Notice if Tenant elects to lease the ROFR Space on the terms set forth in the ROFR Notice.

  • Tenant shall have a right of first refusal with respect to the ROFR Space specified therein on the same terms and conditions as are set forth in the Lease Offer.


More Definitions of ROFR Space

ROFR Space means approximately [ ] rentable square feet of that certain portion of the Building C set forth on Exhibit E.
ROFR Space as used herein shall be defined as any rentable tenant space in the Building which, as of the date of this Lease is, or may become at any time during the Term, vacant.
ROFR Space means any rentable space located on the twelfth (12th) floor of Landlord’s Building which is contiguous to the Premises and which becomes available for lease to a new tenant (i.e., other than to the current tenant or occupant of such space or any affiliate, successor or assign thereof). During the initial Term of this Lease and so long as Tenant has not been in default under this Lease beyond any applicable notice and cure period, Tenant shall have the following “Right of First Refusalto lease the ROFR Space, all upon and subject to the terms and conditions set forth herein.
ROFR Space means all space located on the 2nd floor of the Building which is not occupied by a tenant or which is occupied by a then existing tenant whose lease is expiring within 9 months or less and such tenant does not wish to renew (whether or not such tenant has a right to renew) its occupancy of such space.” Notwithstanding anything to the contrary contained in the Lease or herein, (i) Tenant’s Right of First Refusal shall commence and apply with respect to any Pending Deal(s) for any of the ROFR Space from and after the date hereof (with Tenant acknowledging that the Pending Transaction Space will not be available for occupancy by any tenant until The Medicines Company actually surrenders the Pending Transaction Space), (ii) the last sentence of Section 39(a) which provides that Landlord may lease any space on the second floor of the Building which is comprised of less than 12,500 rentable square feet to any third party (or third parties) on terms acceptable to Landlord, in its sole and absolute discretion, without triggering Tenant’s Right of First Refusal pursuant to Section 39(a) shall continue to apply, and (iii) Tenant’s exercise of its Right of First Refusal shall not in and of itself result in any amendment to the terms on which Tenant is leasing the Original Premises and/or the Expansion Premises.
ROFR Space means the seventh (7th) or twelfth (12th) floors of the Building only, and such ROFR Space shall be governed by Section 29.33 of the Original Lease.
ROFR Space means any of the following: (a) any space located on the Fourth Floor of the Building and (b) any space of at least 7,000 rentable square feet in the Building Tenant shall have an ongoing ROFR Option subject to Existing Rights of Other Tenants (as defined in Paragraph 6 of this Exhibit), unless the applicable Existing Rights of Tenants have been waived or deemed waived by the party owning such rights or such rights have not been exercised in a timely manner and are no longer in effect with respect to the applicable ROFR Space.
ROFR Space in Section 8(a) of the Second Amendment shall mean that certain space identified on Exhibit B attached hereto.
