ROFR Space definition

ROFR Space means any space on the first floor of the Building, which is not occupied by a tenant or which is occupied by a then existing tenant whose lease is expiring within 9 months or less and such tenant does not wish to renew (whether or not such tenant has a right to renew) its occupancy of such space. Tenant shall be entitled to exercise its right under this Section 39(a) only with respect to the entire ROFR Space described in such Pending Deal Notice. Within 10 days after Tenant’s receipt of the Pending Deal Notice, Tenant shall deliver to Landlord written notice (the “Space Acceptance Notice”) if Tenant elects to lease the ROFR Space. Tenant’s right to receive the Pending Deal Notice and election to lease or not lease the ROFR Space pursuant to this Section 39(a) is hereinafter referred to as the “Right of First Refusal.” If Tenant elects to lease the ROFR Space described in the Pending Deal Notice by delivering the Space Acceptance Notice within the required 10 day period, Tenant shall be deemed to agree to lease the ROFR Space on the same general terms and conditions as this Lease except that the terms of this Lease shall be modified to reflect the terms of the Pending Deal Notice for the rental of the ROFR Space. Tenant acknowledges that the term of the Lease with respect to the ROFR Space and the Term of the Lease with respect to the then-existing Premises may not be co-terminous. Notwithstanding anything to the contrary contained herein, in no event shall the Work Letter apply to the ROFR Space. If Tenant fails to deliver a Space Acceptance Notice to Landlord within the required 10 day period, Tenant shall be deemed to have waived its rights under this Section 39(a) to lease the ROFR Space, and Landlord shall have the right to lease the ROFR Space to the third party subject to the Pending Deal (or an affiliate of such third party) (“Pending Deal Party”) on substantially the same business terms and conditions set forth in the Pending Deal Notice. Notwithstanding the foregoing, Tenant’s Right of First Refusal shall be restored if Landlord fails to enter into an agreement to lease the ROFR Space to the Pending Deal Party within 180 days after Landlord’s delivery of the Pending Deal Notice to Tenant. Notwithstanding the foregoing, this paragraph does not apply to any Extension Term.

Examples of ROFR Space in a sentence

  • Tenant agrees that Landlord shall have the right to enter the ROFR Space to exhibit same to prospective tenants, subject to the following terms and conditions: (i) Landlord provides Tenant at least one (1) business day’s advance notice prior to such entry; (ii) Landlord shall use reasonable efforts to minimize interference with Tenant’s business operations in connection with such entry; and (iii) such entry shall only occur during reasonable hours.

  • If Landlord receives or enters into a bona fide offer, proposal or letter of intent (each, “Lease Offer”), from or with a third party to leave all or any portion of the ROFR Space, Landlord shall give Tenant a written notice thereof (“Landlord’s Lease ROFR Notice”), setting forth the terms and conditions of such Lease Offer (the “Lease Offer Terms”), including the lease term, the annual Fixed Rent per square foot (including all fixed or indexed increases to said rate) and the annual Additional Rent.

  • For the avoidance of doubt, Tenant shall be required to exercise its right under this Section 39(a) with respect to all of the space described in the Pending Deal Notice, including, at Landlord’s option, any space in addition to the ROFR Space that is described in the Pending Deal Notice, which additional space shall be deemed to be included as part of the ROFR Space (the “Identified Space”).

  • From and after the Effective Date, Landlord shall have the right to actively market the ROFR Space.

  • If: (i) Tenant fails to timely deliver a Space Acceptance Notice, or (ii) after the expiration of a period of 10 days after Landlord’s delivery to Tenant of a lease amendment or lease agreement for Tenant’s lease of the ROFR Space no lease amendment or lease agreement for the ROFR Space acceptable to both parties each in their sole and absolute discretion, has been executed, Tenant shall be deemed to have waived its right to lease such ROFR Space.


More Definitions of ROFR Space

ROFR Space means the seventh (7th) or twelfth (12th) floors of the Building only, and such ROFR Space shall be governed by Section 29.33 of the Original Lease.
ROFR Space as used herein shall be defined as any rentable tenant space in the Building which, as of the date of this Lease is, or may become at any time during the Term, vacant.
ROFR Space means all leasable space on any floor on which any of the Office Premises is located from time to time and not leased to Tenant from time to time. Subject to the terms and conditions set forth in this Exhibit G (this “Exhibit”), if during the Term, and provided that there are not less than five (5) years remaining in the Term, Landlord receives a bona fide third party offer from any party for any ROFR Space that is contiguous with the Premises that Landlord desires to accept (a “Space Offer”), Landlord grants Tenant the right of first refusal (the “ROFR”), to lease all, but not less than all, of the ROFR Space that is the subject of the Space Offer (the “Subject ROFR Space”) and, at Landlord’s sole option, any other space that is to be leased by such third party together with the Subject ROFR Space pursuant to such Space Offer (if any, the “Included Non-ROFR Space”) on the terms and conditions set forth in this Exhibit. As used herein the Subject ROFR Space and, if applicable, any Included Non-ROFR Space, is collectively the “ROFR Expansion Space”). A bona fide offer need not take the form of a lease, but must at least set forth the important terms of the proposed transaction, including all salient economic terms, and a description and the LSF of the ROFR Expansion Space.
ROFR Space means the Surrendered Premises, as shown on Exhibit “C” to this First Amendment.
ROFR Space means any of the following: (a) any space located on the Fourth Floor of the Building and (b) any space of at least 7,000 rentable square feet in the Building Tenant shall have an ongoing ROFR Option subject to Existing Rights of Other Tenants (as defined in Paragraph 6 of this Exhibit), unless the applicable Existing Rights of Tenants have been waived or deemed waived by the party owning such rights or such rights have not been exercised in a timely manner and are no longer in effect with respect to the applicable ROFR Space.
ROFR Space means approximately [ ] rentable square feet of that certain portion of the Building C set forth on Exhibit E.
ROFR Space has the meaning set forth in Section 18 of this Sublease.
