Sales Terms. As defined in Section 3.18(f).

Sales Terms means these terms and conditions comprising Clauses 1 – 32 inclusive, as may be varied by time to time and provided to the Customer;

Sales Terms shall refer to these terms and conditions as amended from time to time.

Sales Terms means the standard terms and conditions of sale and purchase of the Goods set out in this document. “Seller” means Lhoist (Malaysia) Sdn. Bhd. (Company No. 200701004964 (762963-K)).

Sales Terms means as to any Person, the terms and conditions on which Inventory is sold by such Person in the ordinary course of its business (including the terms and conditions of any recurring seasonal or other promotional sales programs and other sales terms regularly offered by such Person to any of its customers), as set forth in such Person's sales manual or otherwise in writing delivered to and accepted by the Administrative Agent prior to the Closing Date or, if applicable, prior to the date on which such Person becomes a Subsidiary Guarantor.

Sales Terms means as to each Borrower, the terms and conditions on which Inventory is sold by such Borrower in the ordinary course of its business (including the terms and conditions of any recurring seasonal or other promotional sales programs and other sales terms regularly offered by such Borrower to any of its customers), as set forth in such Borrower's sales manuals or otherwise in writing delivered to and accepted by the Administrative Agent prior to the Agreement Date or, if applicable, prior to the date on which such Borrower becomes a party to this Agreement as a "Borrower."

Sales Terms refers to these terms and conditions as amended from time to time. NovaSignal acceptance of any Order is expressly subject to Buyer’s assent to each and all of the terms and conditions set forth in these Sales Terms. Buyer’s assent to these Sales Terms shall be conclusively presumed from Buyer’s failure to submit written objection thereto, or from Buyer’s acceptance of all or any part of the Products ordered. ORDER OF PRECEDENCE: No addition to or modification of these terms and conditions will be binding upon NovaSignal unless specifically agreed to by NovaSignal in writing. If the Order or other correspondence contains terms or conditions contrary to or in addition to the terms and conditions contained in these Sales Terms, acceptance of any Order by NovaSignal will not be construed as assent to such contrary or additional terms and conditions, or constitute a waiver by NovaSignal of any of the terms and conditions contained herein. In case of conflict with the Order, Sales Contract or any other document, these Sales Terms will control. Any reference to the Buyer’s purchase order or any other documents by NovaSignal will not affect or limit the applicability of the terms and conditions contained in these Sales Terms.
