• All such Stock Options shall be issued pursuant to, and in accordance with, the Company's 1994 Stock Option Plan, as amended (the "Stock Option Plan"), and all SARs shall be awarded pursuant to, and in accordance with, the Company's Stock Appreciation Rights Award Plan (the "SAR Plan").

SAR Plan means the Stock Appreciation Rights Plan of the Corporation established on August 4, 2001 and amended as of January 12, 2010.
