SEC FILINGS AND PRESS RELEASES promptly upon their becoming available, copies of (a) all financial statements, reports, notices and proxy statements sent or made available generally by Holdings to its security holders or by any Subsidiary of Holdings to its security holders other than Holdings or another Subsidiary of Holdings, (b) all regular and periodic reports and all registration statements (other than on Form S-8 or a similar form) and prospectuses, if any, filed by Holdings or any of its Subsidiaries with any securities exchange or with the Securities and Exchange Commission, and (c) all press releases and other statements made available generally by Holdings or any of its Subsidiaries to the public concerning material developments in the business of Holdings or any of its Subsidiaries;

  • SEC Filings has the meaning set forth in Section 4.6.

  • Disclosure Documents is defined in Section 5.3.

  • Company SEC Documents has the meaning set forth in Section 3.04(a).

  • SEC Documents shall have the meaning specified in Section 4.5.

  • Company Reports has the meaning set forth in Section 3.08(a).

  • Form 8-K Disclosure Information As defined in Section 11.07.

  • Company Proxy Statement has the meaning set forth in Section 3.5.

  • Disclosure Letters means the Seller Disclosure Letter and the Buyer Disclosure Letter.

  • Public Documents As defined in Section 4.02(a) of this Agreement.

  • Information Statement means the information statement to be made available to the holders of Parent Shares in connection with the Distribution, as such information statement may be amended or supplemented from time to time prior to the Distribution.

  • Disclosed Information means the information disclosed by a Party for the purpose of settlement, negotiation, Mediation or Arbitration;

  • Company Financial Information As defined in Section 2(a)(ii).

  • SOS Reports means the official reports from the Secretaries of State of each Collateral State, Chief Executive Office State and the Borrower State and other applicable federal, state or local government offices identifying all current security interests filed in the Collateral and Liens of record as of the date of such report.

  • Disclosure Materials has the meaning set forth in Section 3.1(h).
