Second Amendment Documents definition

Second Amendment Documents means (a) the Second Amendment, (b) the Notes executed in connection therewith and (c) the Second Mortgage Amendments, in each case as amended, supplemented or otherwise modified from time to time.

Second Amendment Documents means the Second Amendment, the Notes and any other documents, agreements or instruments executed and delivered in connection therewith.

Second Amendment Documents means, collectively, the Second Amendment, the Joinder to Guaranty, the Third Amended and Restated Note, the Continuing Letter of Credit Agreement, and each other document, instrument, certificate and agreement executed and delivered by any Borrower, any Subsidiary, or any Guarantor in connection with the Second Amendment or otherwise referred to therein or contemplated thereby all as they may be amended, restated or otherwise modified.

• Such legal opinion shall cover such matters incident to the transactions contemplated by this Amendment and the other Second Amendment Documents as the Lender may reasonably require.

• By executing this Second Amendment each of the Wynn Amendment Parties (a) consents to the Second Amendment Documents, (b) acknowledges that notwithstanding the execution and delivery of the Second Amendment Documents, the obligations of each of the Wynn Amendment Parties under the Guarantee are not impaired or affected and the Guarantee continues in full force and effect and (c) affirms and ratifies, to the extent it is a party thereto, the Guarantee.

• In connection with any such review or dispute, Tenant and its representatives shall execute and deliver to Landlord a confidentiality agreement, in form and substance reasonably satisfactory to Landlord, whereby such parties agree not to disclose to any third party any of the information obtained in connection with such review, or the substance of any admissions or stipulations by any party in connection therewith, or of any resulting reconciliation, compromise or settlement.
