Seconded Persons definition

Seconded Persons means, collectively, the Seconded Employees and the Seconded Contractors.
Seconded Persons has the meaning set forth in Section 2.5.

  • The Partnership Parties will use commercially reasonable efforts to keep and maintain books/records reflecting the hours worked in connection with each of the Seconded Persons.

  • Pursuant to proper grounds therefor, when LEDERLE or CKK find it necessary to terminate this Agreement, or to change, suspend or stop the secondment of individual Seconded Persons, they may terminate this Agreement or make such stoppage or the like to secondment upon three (3) months' prior notice thereof to the opposite party.

  • Diamondback shall provide, or cause to be provided, such suitably qualified and experienced Seconded Persons as Diamondback is able to make available to the Viper Entities, and the Viper Board shall have the right to approve such Seconded Persons.

  • The Viper Parties shall reimburse Diamondback for all reimbursable expenses under Section 3.3 incurred by the Diamondback Entities with respect to Seconded Persons (including, where applicable, former Seconded Persons), in connection with the performance of the Services during the preceding period, as well as any other costs or expenses incurred by the Diamondback Entities in connection with the performance of the Services during such period (collectively, the “Services Reimbursement”).

  • The Parties intend that under this Article 3 the Diamondback Entities shall be reimbursed for the costs and expenses incurred by them in providing the Seconded Persons and the Services in the same manner as such reimbursement was made prior to the Effective Time.

  • CKK may not re-second Seconded Persons to another company or the like.

Related to Seconded Persons

  • Excluded Persons means (A) the Company or any Regency Entity; (B) a trustee or other fiduciary holding securities under an employee benefit plan of the Company or any Regency Entity; (C) an underwriter temporarily holding securities pursuant to an offering of such securities; or (D) a corporation owned, directly or indirectly, by the shareholders of the Company in substantially the same proportions as their ownership of stock in the Company.

  • Covered Persons has the meaning set forth in Section 20(a).

  • Specified Personnel means the personnel specified in the Contract to provide the Services.

  • Service Provider Personnel means and refers to Service Provider employees or subcontractors hired and maintained to perform Services hereunder.

  • Project affected persons (PAPs) means persons who, for reasons of the involuntary taking or voluntary contribution of their land and other assets under the project, result in direct economic and or social adverse impacts, regardless of whether or not the said Project affected persons physically relocate. These people may have their:

  • Provider Personnel means all persons employed or engaged by the Provider together with the Provider’s servants, agents, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, Provider’s and Sub-Contractors) used in the performance of its obligations under this Agreement;

  • Medical personnel means those persons assigned, by a Party to the conflict, exclusively to the medical purposes enumerated under subparagraph (e) or to the administration of medical units or to the operation or administration of medical transports. Such assignments may be either permanent or temporary. The term includes:

  • Purchaser Personnel means the Purchasers’, and each Purchaser’s Affiliates’, officers, directors (or their equivalent), employees, agents, and contractors of any kind.

  • Connected Persons means, in each case, to the extent that they are involved in the Transaction are the Employer’s directors, shareholders, affiliate(s), officers, employees and advisers, agents and representatives;

  • Designated Persons means a person or entity (a) listed in the annex to, or otherwise subject to the provisions of, any Executive Order; (b) named as a “Specially Designated National and Blocked Person” (“SDN”) on the most current list published by OFAC at its official website or any replacement website or other replacement official publication of such list (the “SDN List”) or is otherwise the subject of any Sanctions Laws and Regulations; (c) in which an entity or person on the SDN List has 50% or greater ownership interest or that is otherwise controlled by an SDN.

  • Company Personnel means any current or former officer, employee, director or consultant of the Company or any of its Subsidiaries.

  • Specified Persons means the Directors, connected persons, the insiders, the Designated Employees and the promoters and immediate relatives are collectively referred to as Specified Persons.

  • Supplier Personnel means Supplier’s employees, consultants, agents, independent contractors and Subcontractors.

  • Released Persons means each and all of the Defendants and their Related Parties.

  • Contractor Parties means a Contractor’s members, directors, officers, shareholders, partners, managers, principal officers, representatives, agents, servants, consultants, employees or any one of them or any other person or entity with whom the Contractor is in privity of oral or written contract (e.g. subcontractor) and the Contractor intends for such other person or entity to perform under the Contract in any capacity. For the purpose of this Contract, vendors of support services, not otherwise known as human service providers or educators, shall not be considered subcontractors, e.g. lawn care, unless such activity is considered part of a training, vocational or educational program.
