Securityholder Documents definition

Securityholder Documents is defined in Section 2.9(a).
Securityholder Documents means the Indenture, (and the Notes and Guarantees issued thereunder), the Security Agreement dated August 25, 2005 executed by Borrower in favor of the Trustee on its own behalf and on behalf of the Securityholders and any other collateral documents delivered thereunder, as each such securityholder documents shall be amended, supplemented, replaced, renewed, substitutes or otherwise modified from time to time.
Securityholder Documents has the meaning set forth in Section 2.7(c)(i).

Examples of Securityholder Documents in a sentence

  • The documents to be delivered by Holders of Converted Shares at and after the Effective Time (the "Securityholder Documents") shall be the Certificates representing the Converted Shares and a duly executed letter of transmittal in the form provided by the Buyer.

  • All Options with respect to which the Paying Agent failed to receive the applicable Securityholder Documents on or prior to the Closing Date shall be cancelled in accordance with the terms of the Option Plans, and the applicable Optionholders shall not be entitled to receive any portion of the Merger Consideration.

Related to Securityholder Documents

  • Noteholder Documents means (a) the Indenture, the Notes and the Noteholder Collateral Documents and (b) any other related document or instrument executed and delivered pursuant to any Noteholder Document described in clause (a) above evidencing or governing any Obligations thereunder.

  • L/C Documents means the Letters of Credit, any draft or other document presented in connection with a drawing thereunder, the Applications and this Agreement.

  • Reorganization Documents means the Reorganization Agreement, this Agreement, the Holdco LLC Agreement, the Tax Receivable Agreement, the Exchange Agreement, the Registration Rights Agreement, the Employee Equity Letters, the MIP and the Equity Purchase Agreements.

  • Fundamental Documents means, with respect to a corporation, the charter and bylaws (each as amended) or, with respect to any other Person, the documents by which such Person (other than an individual) establishes its legal existence or which govern its internal affairs.

  • Securities Documents means all reports, offering circulars, proxy statements, registration statements and all similar documents filed, or required to be filed, pursuant to the Securities Laws.

  • Purchaser Documents has the meaning set forth in Section 6.2.

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.

  • REMIC Documents The document or documents creating and governing the administration of a REMIC.

  • Tender Documents means the General and special conditions of contract (2.1.8) and tender specification (2.1.9).

  • Subordinated Note Documents means the indenture under which the Subordinated Notes were issued and all other instruments, agreements and other documents evidencing or governing the Subordinated Notes or providing for any Guarantee or other right in respect thereof.

  • Company Charter Documents means the Company’s certificate of incorporation and bylaws, each as amended to the date of this Agreement.

  • Shareholder Agreement has the meaning set forth in the Recitals.

  • Guarantor Documents means this Guaranty and all other certificates, documents, agreements and instruments delivered to any Guaranteed Party under or in connection with this Guaranty and the Loan Documents.
