Seller Transaction Documents definition

Seller Transaction Documents has the meaning set forth in Section 4.3(a).

Seller Transaction Documents means the agreements, instruments and documents required to be delivered by Seller in connection with the transactions contemplated by this Agreement.

• Except for Stockholder Approval (as defined in Section 5.1(b) below), the execution and delivery of this Agreement and the other Seller Transaction Documents, the performance by Seller of its obligations hereunder and thereunder and the consummation of the transactions contemplated hereby and thereby have been duly authorized by all necessary corporate actions on the part of Seller.

• The transactions contemplated by this Agreement and the other Seller Transaction Documents are authorized under the Plan and the Confirmation Order and no subsequent or additional order or approval from the Bankruptcy Court is necessary for the entry into, approval and consummation hereof and thereof.

• The closing of the transactions contemplated under this Agreement (the “Closing”) and the transfer of the Purchased Shares by Seller to Buyer shall have taken place when the Seller delivers the Seller Transaction Documents, at such place as the Parties may agree, or at such other time as the Parties may agree.

• The execution, delivery and performance by such Seller of this Agreement and the other Seller Transaction Documents, and the consummation by such Seller of the transactions contemplated hereby and thereby, have been duly and validly authorized by all requisite action on the part of such Seller.

• All requisite corporate proceedings have been taken and Seller has obtained all approvals, consents, and authorizations necessary to authorize the execution, delivery, and performance by Seller of this Agreement, and each of the Seller Transaction Documents to which it is a party.

More Definitions of Seller Transaction Documents

Seller Transaction Documents has the meaning given such term in Section 3.2.

Seller Transaction Documents means those of the Transaction Documents to which any Seller Group Undertaking is expressed to be a party;
