A holder of shares of Class B Common Stock (a "Converting Holder") acquired as a result of the exercise of rights by another Person under Section 10(a) of the Shareholders' Agreement to sell the Selling Percentage (as defined in the Shareholders' Agreement) of Class B Common Stock shall have the right to convert each share of Class B Common Stock so acquired into Class A Common Stock in accordance with the provisions of this Section 2A.
