Serviced Group Member Supplement definition

Serviced Group Member Supplement means an agreement substantially in the form of Exhibit B to the Servicing Agreement.
Serviced Group Member Supplement means an agreement substantially in the form of Exhibit A to the Servicing Agreement. “Servicer Termination Event” means any event listed in Section 10.02(b). “Services” has the meaning assigned to such term in Section 2.02(a) of this Agreement. “Servicing Fees” has the meaning assigned to such term in Section 9.01 of this Agreement. “Standard of Care” has the meaning assigned to such term in Section 3.01 of this Agreement. “Standard of Liability” has the meaning assigned to such term in Section 3.03 of this Agreement. “Termination Notice” has the meaning assigned to such term in Section 10.02(c)(i) of this Agreement. “Third Party Claim” means a claim by a third party arising out of a matter for which an indemnified party is entitled to be indemnified pursuant to Article XI of this Agreement. “WLFC Revolving Credit Facility” means that certain Fourth Amended and Restated Credit Agreement dated as of June 7, 2019, among, inter alios, WLFC, as the borrower, the lenders from time to time parties thereto, MUFG Bank, Ltd., as administrative agent and joint lead arranger, MUFG Bank, Ltd., as security agent, BOFA Securities, Inc., as joint lead arranger, joint bookrunner and syndication agent, Xxxxx Fargo Securities, LLC, as joint lead arranger and joint bookrunner, and Xxxxx Fargo Bank, National Association, as documentation agent, as such may be amended, restated or supplemented from time to time. SCHEDULE 2.02(a) ASSET SERVICES This Schedule 2.02(a) is a part of, and shall be incorporated into the Servicing Agreement to which this Schedule 2.02(a) is attached (the “Agreement”). The provision of the Services set forth in this Schedule 2.02(a) will be subject in all cases to such approval as may be required or such limitations as may be imposed pursuant to Section 7.04 of the Agreement and the provisions of this Schedule 2.02(a) shall be deemed to be so qualified. . Serviced Group Member Supplement means an agreement substantially in the form of Exhibit B to the Servicing Agreement. “Servicer Conflicts Standard” has the meaning assigned to such terms in Section 3.02(b) of this Agreement. “Standard of Care” has the meaning assigned to such term in Section 3.01 of this Agreement. “Serviced Group” means WEST and each Issuer Subsidiary that is a signatory to this Agreement or becomes a party to the Servicing Agreement from time to time pursuant to a Serviced Group Member Supplement (but only for so long as such Issuer Subsidiary remains a party hereto). “Servicer Report” means a report that the Servicer is required to provide to WEST pursuant to Sections 8.01 and 8.02 of Schedule 2.02(a) to this Agreement. “Servicer Termination Event” means any event listed in Section 10.02(b).

Examples of Serviced Group Member Supplement in a sentence

  • This Serviced Group Member Supplement may be signed in any number of counterparts, each of which shall be an original, with the same effect as if the signatures thereto and hereto were upon the same instrument.

  • Such Serviced Group Member Supplement shall be effective without the need for any other party hereto to execute such Serviced Group Member Supplement in acknowledgement and agreement.

  • The undersigned (the “New Party”) agrees, as of the date of this Serviced Group Member Supplement, to be considered a party to the Servicing Agreement for all purposes, as if an original signatory to the Servicing Agreement, and to be bound by the terms of the Servicing Agreement.

  • Borrower Party Affiliate means, with respect to the Mortgage Loan Borrower, a manager of the Mortgaged Property or an Accelerated Mezzanine Loan Lender, (a) any other Person controlling or controlled by or under common control with such Mortgage Loan Borrower, manager or Accelerated Mezzanine Loan Lender, as applicable, or (b) any other Person owning, directly or indirectly, 25% or more of the beneficial interests in such Mortgage Loan Borrower, manager or Accelerated Mezzanine Loan Lender, as applicable. For the purposes of this definition, “control” when used with respect to any specified Person means the power to direct the management and policies of such Person, directly or indirectly, whether through the ownership of voting securities, by contract or otherwise and the terms “controlling” and “controlled” have meanings correlative to the foregoing.

  • Project Finance Subsidiary means a Subsidiary that is a special-purpose entity created solely to (i) construct or acquire any asset or project that will be or is financed solely with Project Financing for such asset or project and related equity investments in, loans to, or capital contributions in, such Subsidiary that are not prohibited hereby and/or (ii) own an interest in any such asset or project.

  • CAISO Controlled Grid has the meaning set forth in the CAISO Tariff.

  • JV Entity means any joint venture of the Borrower or any Restricted Subsidiary that is not a Subsidiary.

  • Borrower Party means the Mortgage Loan Borrower, a manager of the Mortgaged Property, an Accelerated Mezzanine Loan Lender or any Borrower Party Affiliate.

  • Regulated Subsidiary means any Subsidiary of the Company so long as such Subsidiary is (a) a Broker-Dealer Subsidiary or (b) otherwise subject to regulation by any Governmental Authority and for which the incurrence of Indebtedness (including Guarantees) or the granting of Liens with respect to its assets would be prohibited or restricted or would result in a negative impact on any minimum capital or similar requirement applicable to it, in any case, as set forth in any rule or regulation of such Governmental Authority.
