As set forth below, the following obligations are imposed upon Employer upon termination of this Agreement; provided, however, that to be entitled to such severance benefits, Employee will be required to execute, and not revoke, a Confidential Severance Agreement and Release provided by Employer as more fully described in Section IV.I below.
As a condition of receiving any Severance Benefits under this Paragraph 4, Executive is required to sign (and not revoke) a Severance Agreement and Release of All Claims (“Release”) against CDTI and related entities and individuals, in a form to be provided by CDTI, within 45 days after his termination date.
This Severance Agreement and Release (“Agreement”) is made between Stereotaxis, Inc.
The aggregate amount paid under the preceding sentence is referred to herein as the "Severance Amount." The Severance Amount shall be paid as severance and only upon execution by Executive of Employer's standard form of Severance Agreement and Release.

The parties agree that the Employer’s offer of this Severance Agreement and Release and/or the payment of severance under this Agreement are not an admission of any kind that the Employee has any viable claims against the Employer or that the Employer admits to any liability whatsoever.
This Severance Agreement and Release shall not be considered an admission of liability or a violation of any applicable contract, law, rule, regulation, guideline, or order of any kind.
The Severance Agreement and Release will require Executive to release all claims against Employer and its employees in order to receive the Severance Amount.
This Severance Agreement and Release ("this Agreement") is made and entered into by and between ParkerVision, Inc.
