• The Severance Agreement and Release will require Executive to release all claims against Employer and its employees in order to receive the Severance Amount.

• This Severance Agreement and Release ("this Agreement") is made and entered into by and between ParkerVision, Inc.

Severance Agreement and Release means an agreement signed by the Eligible Employee substantially in the form attached hereto as Attachment D. The foregoing notwithstanding, the Company may, by action of its chief human resources officer or chief legal counsel or a person delegated authority by one of such persons, modify the form of Severance Agreement and Release to be signed by any Eligible Employee, subject to such limitations or procedures as may be specified by the Employee Benefits Committee, and provided that, during the Change in Control Period, such Agreement shall not be modified in a manner that increases the obligations or decreases the rights of the Eligible Employee as compared to the form of such Agreement in use prior to the Change in Control.
