Share Charges definition

Share Charges means (i) the first fixed legal charge of 9,393,800 Class B Ordinary Shares of ECMOHO Limited by Behealth Limited in favour of the Bank as security for Secured Indebtedness; and (ii) the first fixed legal charge of 9,393,800 Class B Ordinary Shares of ECMOHO Limited by Uhealth Limited in favour of the Bank as security for Secured Indebtedness.

Share Charges means the first priority share charges over all the shares of each of the Rig Owners collateral to this Agreement as security for the Obligors’ obligations under the Finance Documents in the form and substance satisfactory to the Agent on behalf of the Finance Parties.

Share Charges means (i) the first fixed legal charge of 18,787,600 Class B Ordinary Shares of ECMOHO Limited held by Behealth Limited in favour of the Bank as security for Secured Indebtedness; and (ii) the first fixed legal charge of 18,787,600 Class B Ordinary Shares of ECMOHO Limited held by Uhealth Limited in favour of the Bank as security for Secured Indebtedness.

• On 24 January 2020, Mr. Shiu made an application to the Court to set aside the said statutory demand under HCSD 12/2020 on the basis, among others, that the Alleged Share Charges are forged and fraudulent documents.

• The Alleged Share Charges represented respective charges over the Rich Treasure Shares, the Able Rich Shares and the Controlling Block as security to a loan in the principal amount of HK$327,000,000 provided by Mr. Cheung to Popland pursuant to the Popland Loan Agreement.

• On 14 August 2018, the Lender signed the Consent Letter with the Borrower, the Guarantor and the chargors under the Share Charges, pursuant to which the Lender has agreed to extend the Repayment Date for the Outstanding Amount to 14 September 2018 in accordance with the revised terms and conditions as stipulated therein.

• This opinion is being delivered to the Addressee in connection with the Transaction Documents and the Share Charges.

More Definitions of Share Charges

Share Charges means (i) the first fixed legal charge of 18,787,600 Class B Ordinary Shares of ECMOHO Limited held by Behealth Limited in favour of the Bank as security for Secured Indebtedness; and (ii) the first fixed legal charge of 18,787,600 Class B Ordinary Shares of ECMOHO Limited held by Uhealth Limited in favour of the Bank as security for Secured Indebtedness; and “USD” means United States Dollar, the lawful currency of the United States of America.

Share Charges means those certain Charges Over Shares dated on or about the Original Restatement Closing Date made between the applicable UK Credit Parties and the Agent, in each case, as the same may be amended, restated, supplemented or otherwise modified from time to time.

Share Charges means the first priority charges over all the shares, equity interest or membership interest (as applicable) of each of the Borrowers and the Intra-Group Charterers provided by the relevant shareholders (provided that such Intra-Group Charterer is a special purpose company) collateral to this Agreement as security for the Obligors’ obligations under the Finance Documents in the form and substance satisfactory to Agent (on behalf of the Finance Parties).

Share Charges the share charges substantially in the form set out in Schedule 5 to be given in favour of the Security Trustee by (a) the Company over the entire issued share capital of Rising Group International Limited, a company incorporated in the BVI; (b) Max Access Limited over the entire issued share capital of China Smarter Energy Investment Limited, a company incorporated in Hong Kong; and (c) Surplus Basic Limited over the entire issued share capital of Rander International Limited, a company incorporated in the BVI; “Solar Business” the business of acquiring and/or developing and/or operating and/or disposal of photovoltaic power stations of all sizes and activities ancillary thereto (including without limitation to the generality of foregoing the provision of on-line financing services in the smarter energy sector);

Share Charges means [the share charges as amended, supplemented and/or varied from time to time dated [●] 2015 given in favour of the Security Trustee by: -
